Commercialization Activities definition

Commercialization Activities means, on a Collaboration Product-by-Collaboration Product basis, all global Commercialization activities undertaken with respect to such Collaboration Product.

Commercialization Activities means those Commercialization activities undertaken by or on behalf of a Party or its Affiliates with respect to the Product in the Field.

Commercialization Activities means commercialization activities relating to a Product, including activities relating to marketing, promoting, detailing, distributing, importing, exporting, offering for sale and/or selling a Product, the conduct of other commercialization activities (including activities in preparation for the commercial launch of a Product) and/or the conduct of any Phase IV clinical trials (as such term is defined in 21 C.F.R. §312.85 and any foreign equivalent thereof). “Commercialize” and “Commercializing” shall have their correlative meanings.

Examples of Commercialization Activities in a sentence

• Thereafter, Merck, with input from Moderna, will update the Global Commercialization Budget at least [***] per Calendar Year (and in any event at any time the Global Commercialization Plan is updated or amended with respect to any Commercialization Activities), and the JCC will review and comment on and the JSC shall approve any such update or any other amendment to the Global Commercialization Budget.

• If and to the extent that any Included In-License Payment becomes due with respect to the performance of Commercialization Activities in the Territory, the Contracting Party will pay the same and such payment will be treated as [***].

• The Commercialization Entity shall have the right, but not the obligation, to develop Commercial Facilities and collect Commercialization Revenues in accordance with this PPA and the Commercialization Management Plan in connection with those Commercialization Activities identified in the then-current Commercialization Management Plan.

• The Development Entity and/or the Commercialization Entity will be responsible for paying any real property, ad valorem, transfer, sales, income or other tax, duty or charge by any Governmental Entity as a consequence of the conduct of Commercialization Activities by the Commercialization Entity from time to time (any such tax, duty or charge, Commercialization Taxes).

More Definitions of Commercialization Activities

Commercialization Activities means on a [***] basis, the Commercialization activities conducted by or under the authority of Sanofi in the Territory under this Agreement.

Commercialization Activities means activities relating to the manufacture of a Collaboration Product for sale to end users, or to the marketing and sale of a Collaboration Product, including Pre-Marketing activities, which in the Co-Promotion Territory is undertaken pursuant to a Marketing and Sales Plan.

Commercialization Activities means utilization of the Broadband Infrastructure for the generation of revenue from non-Commission entities and participation in a revenue sharing arrangement with the Commission.

Commercialization Activities means the marketing, promotion, including Detailing, Distribution, selling and other activities for the commercialization of Combination Product in the Field (including obtaining and maintaining any pricing approvals under applicable regulations and guidelines and securing local or national drug plan reimbursement).

Commercialization Activities means any activities approved by VIRNETX that are necessary or desirable to generate revenue from the VIRNETX Patents anywhere in the world by means of VIRNETX granting a License to an Approved Counterparty.

Commercialization Activities has the meaning provided in Section 7.1.

Commercialization Activities means the LFB Biotech Commercialization Activities and/or the GTC Commercialization Activities, as the context suggests.
