Closing Stock definition

Closing Stock has the meaning set forth in Section 2(b) below.
Closing Stock has the meaning ascribed to such term in Section 1.2(a)(ii).
Closing Stock means, the aggregate amount of Closing Common Stock and the Buyer Preferred Stock, each as issued to Renovare at the Closing.

"Confidential Information" means any information that is proprietary or confidential or that a Party is obligated to keep confidential (e.g., pursuant to a contractual or other obligation owing to a Third Party). Confidential Information may be of a technical, business or other nature (including, but not limited to, information which relates to a Party's technology, research, development, products, customers, employees, contractors, marketing plans, finances, contracts, legal affairs, or business affairs). However, Confidential Information does not include any information that: (a) was known to the Recipient prior to receiving the same from the Discloser in connection with this Agreement; (b) is independently developed by the Recipient; (c) is acquired by the Recipient from another source without restriction as to use or disclosure; or (d) is or becomes part of the public domain through no fault or action of the Recipient. "Confidential Material" means any document (whether in handwritten, printed, coded, magnetic, electronic or other form or media) which contains, displays or manifests any Confidential Information. "Confidentiality Agreement" means the Bilateral Confidential Disclosure Agreement, dated as of January 14, 1997, between Buyer and Seller.
Closing Stock means the shares of Purchaser Common Stock issued in accordance with Sections 2.04(2)(c) and 2.04(3)(c) of this Agreement.
