Closing Date Price definition

Closing Date Price means the arithmetic average of the Market Price of the Common Stock on the five consecutive Trading Days ending on the Trading Day prior to the Closing Date (when used after the Closing Date, the Closing Date Price shall be subject to equitable adjustments from time to time on terms reasonably acceptable to the Buyer for stock splits, stock dividends, combinations, recapitalizations, reclassifications and similar events occurring after the Closing Date).
Closing Date Price is defined in Section 2.2.
Closing Date Price shall equal the average of the per share 4:00 p.m. closing prices on the New York Stock Exchange of the Parent Common Stock for the 20 consecutive trading days ending at the end of the third trading day immediately preceding the Closing Date.
