Examples of Client or Prospective Client in a sentence
During the time of your employment with Fiserv, you will not: (A) perform duties as or for a Competitor, Client or Prospective Client of Fiserv (except to the extent required by your employment with Fiserv); or (B) participate in the inducement of or otherwise encourage Fiserv employees, clients, or vendors to currently and/or prospectively breach, modify, or terminate any agreement or relationship they have or had with Fiserv.
While there is no geographic restraint, Employee understands and acknowledges that the restriction prohibiting solicitation of any Enfusion Client or Prospective Client is limited to those Clients or Prospective Clients with whom Employee worked, to whom Employee marketed or sold services or products, or about whom Employee received Confidential Information, as such would give Employee an unfair competitive advantage.
Employee agrees this restriction is necessary and reasonable, without regard to geographic constraint, based upon the Employee’s knowledge and/or interaction with the Client or Prospective Client and to protect Enfusion’s legitimate interest in protecting its business relationships.
You acknowledge and agree that any post-employment efforts by you to work for a Competitor, Client or Prospective Client or to solicit the business of Fiserv would necessarily require the use of Fiserv’s Confidential Information that was obtained by you during your employment.
The term “solicit” includes any direct or indirect approach, verbal or written, to a Client or Prospective Client containing an offer, announcement, request, petition, solicitation or other entreaty that asks, urges, encourages, invites, moves or otherwise persuades a Client or Prospective Client to contact or respond to you or a Competitive Business for business purposes.
You understand and agree that impermissible solicitation includes, but is not limited to, informing any Client or Prospective Client of your intent to form or join a Competitive Business or announcing to any Client or Prospective Client your departure from BearingPoint or your forming or joining a Competitive Business.
You acknowledge and agree that any post-employment efforts by you to work for a Competitor, Client or Prospective Client or to solicit the business or employees of Fiserv would necessarily require the use of Fiserv’s Confidential Information that was obtained by you during your employment.
In applying this Article V, the wishes or preferences of a Client or Prospective Client as to who shall perform its Consulting Services, or the fact that the Client or Prospective Client may also be a client of a third party with whom the Employee is or becomes associated, shall neither be relevant nor admissible as evidence in any dispute arising under this Article V.
The Executive will not, for a period of 12 months after the Termination Date, solicit or deal with, or approach or accept any business or trade of, a Client or Prospective Client for the provision of goods or services which compete with the Business.
For a period of twelve (12) months immediately following the Participant’s Termination of Employment, the Participant shall not (A) induce or attempt to induce, directly or indirectly, any Client (as defined below) to cease doing business with the Company, (B) induce or attempt to induce, directly or indirectly, any Client or Prospective Client (as defined below) to not commence doing business with the Company, or (C) solicit the business of any Client or Prospective Client.
