Client Confidential Information definition

Client Confidential Information means Client Technology and information which relates to Client’s research, development, systems, employees, customers, or business that Client designates in writing to Winmill as confidential.

  • Red Hat may subcontract Services under an Order Form to third parties or Affiliates without the approval of Client; provided, however, that (a) subcontractors agree to protect Client Confidential Information, and (b) Red Hat remains responsible to Client for performance of its obligations hereunder.

  • In no event will Accenture be precluded from independently developing for itself, or for others, anything, whether in tangible or non- tangible form, which is competitive with, or similar to, the work product provided and to the extent that they do not contain Client Confidential Information.

  • All subcontractors, if any, will be required by ExED to comply with the terms and conditions of this Agreement respecting Client Confidential Information.

  • In no event will Accenture be precluded from independently developing for itself, or for others, anything, whether in tangible or non-tangible form, which is competitive with, or similar to, the work product provided and to the extent that they do not contain Client Confidential Information.

  • Nothing in these Terms and Conditions shall be deemed to grant BioIVT a license to such Client Goods or Client Confidential Information except as reasonably necessary for the performance of the Services.


More Definitions of Client Confidential Information

Client Confidential Information means any information (i) disclosed by or on behalf of Client or its Affiliates to the Company, either in writing or orally, (ii) about Client or its Affiliates and obtained by the Company from a third party under an obligation not to disclose such information, (iii) created by the Company or Client or its Affiliates, or (iv) observed by the Company on the premises of Client or its Affiliate(s), in each case, in connection with this Agreement.
Client Confidential Information means product formulations, manufacturing technology, operating processes and procedures, quality assurance methods, processes and procedures, packaging designs and manufacturing technology, marketing and sales strategies, volume and sales data, financial information, and research and development plans and data. Client Confidential Information shall also include all information, knowledge, know-how, or data regardless of form (whether written, oral, photographic, electronic, magnetic, computer, or otherwise) which is treated or designated by Client as confidential or proprietary.
Client Confidential Information means and includes, but is not limited to, all Work Product and all non-public information related to the business of the Upwork Client or any of its parents, subsidiaries, affiliates, or successors and the actual or anticipated research and development of the Upwork Client or any of its parents, subsidiaries, affiliates, or successors, including without limitation (i) trade secrets, inventions, ideas, processes, computer source and object code, formulae, data, databases, programs, other works of authorship, know-how, improvements, discoveries, developments, designs, and techniques; (ii) information regarding products or plans for research and development, marketing and business plans, budgets, financial statements, contracts, prices, suppliers, and customers; (iii) information regarding the skills and compensation of the Upwork Client’s employees, contractors, and any other Freelancers; (iv) the existence of any business discussions, negotiations, or agreements between the Upwork Client and any third party; and (v) all such information related to any third party that is disclosed during the course of the Project. Confidential Information will not include any such information which Freelancer can establish (x) was publicly known or made generally available prior to the time of disclosure to Freelancer; (y) becomes publicly known or made generally available after disclosure to Freelancer through no wrongful action or inaction of Freelancer; or (z) is in the rightful possession of Freelancer, without confidentiality obligations, at the time of disclosure as shown by Freelancer’s then- contemporaneous written records; provided that any combination of individual items of information shall not be deemed to be within any of the foregoing exceptions merely because one or more of the individual items are within such exception, unless the combination as a whole is within such exception. To the extent Freelancer (1) collects, stores, transmits, discloses, processes, and/or otherwise uses information that identifies a particular individual (“Personal Information”) or
Client Confidential Information means all information in whatever form that Client provides or authorizes to be provided to Paradigm in connection with the services rendered under this Agreement and that at the time of first receipt: (i) is clearly marked “confidential” or “proprietary;” (ii) constitutes protected health information, personal information, or student or pupil information, as defined by any federal or state laws or regulations, including but not limited to the Family Education Rights Privacy Act (FERPA), 20 U.S.C. §1232g, et al., the Protection of Pupil Rights Amendment (PPRA), 20 U.S.C. §1232h, the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. §§6501-6506, and the California Education Code (including §49073.1); (iii) is governed by the terms of a Data Use Agreement (DUA) between Client and DHCS; (iv) is otherwise disclosed under circumstances of confidence; or (v) reasonably should be understood by the receiving party to be confidential. Without limiting the foregoing, Client Confidential Information shall include all Client student healthcare data and other student information, and all Medi-Cal data files received by Paradigm as Client’s designated custodian. Confidential Information shall not include any information that is or becomes publicly known through no fault of Paradigm, is already known by Paradigm at the time of disclosure based on information received from a source other than Client, or is rightfully received or independently developed by Paradigm after disclosure.
Client Confidential Information means all information and data, whether written or oral, pertaining to the Client or the Material that is not commonly known by or available to the public including, without limitation, technical and non-technical data, formulae, procedures, methods, techniques, know-how, specifications, drawings, designs and processes;
Client Confidential Information means (i) any Manufacturing Documentation provided by Client to LONZA, and all elements of the Manufacturing Process provided by Client to LONZA, clinical data and information, chemical structures, composition of matter rights, business plans, regulatory and Product strategies and all technical and other confidential and/or proprietary information, inventions, knowledge, materials and trade secrets, whether patented or unpatented, relating to Client processes, test methods, operations, technologies, forecasts and business information that is disclosed or supplied to LONZA by or on behalf of Client pursuant to this Agreement whether in written, oral, electronic or other tangible or intangible form, and (ii) data, materials, information and records of any kind and description developed, generated or otherwise created by LONZA in connection with the Services or that relate to the API or its formulation, use or stability.
