Examples of Class U Shares in a sentence

  • The Trust is authorized to engage in the activities listed above, and in any other activities related to the distribution of Class U Shares, either directly or through other persons with which the Trust has entered into agreements related to this Plan.

  • In addition, this Plan may not be amended to increase materially the amount of expenditures provided for in Section 2 hereof unless such amendment is approved by a vote of the majority of the outstanding voting securities (as defined in the 1940 Act) of the Class U Shares of the Fund to which the increase applies.

  • This Plan may be terminated with respect to a Fund at any time by the vote of a majority of the Qualified Trustees or by vote of a majority of the outstanding voting securities (as defined in the 1940 Act) of the Class U Shares of the Funds; and Exhibit A shall be amended accordingly.

  • The Master Distribution Plan for Class U Shares authorizes distribution and service fees of up to 0.75% annually, which includes distribution fees of up to 0.50% and shareholder service fees of up to 0.25% annually.

  • The Distributor may use all or any portion of the fee received pursuant to this paragraph to compensate Authorized Institutions that have engaged in the sale of Class U Shares or in service activities with respect to Class U Shares pursuant to the Agreements, or to pay any of the expenses associated with other activities authorized under paragraph 1 hereof.

  • Retail Shares, Class M Shares, Class S Shares, Class U Shares and Fiduciary Shares may be purchased by check, by Federal Funds wire, by telephone (if exchanging Shares), through financial institutions or through the Automatic Investment Plan, pursuant to procedures outlined in the Trust’s Registration Statement.

  • Holders of Retail Shares, Class M Shares, Class S Shares, Class U Shares and Fiduciary Shares may also make regular exchanges and redemptions of their Shares as described in the Registration Statement.

  • The minimum initial investment and subsequent investment requirements applicable to Retail Shares, Class M Shares, Class S Shares, Class U Shares and Fiduciary Shares shall be as outlined in the Trust’s prospectus and statement of additional information.

  • Procedures for purchasing Fiduciary Shares, Class M Shares, Class S Shares and Class U Shares are outlined in the Registration Statement.

  • Fiduciary Shares, Class M Shares, Class S Shares and Class U Shares may only be purchased by certain investors listed in the Registration Statement.

Related to Class U Shares

  • Class C Shares means the shares of Class C common stock of the Company.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Shares means the Class A ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class A Shares, and having the rights provided for in these Articles.

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Class A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Series B Preferred Units shall have the meaning provided in Section 1.

  • Series D Preferred Shares means the Company’s series D preferred shares, par value US$0.00001 per share.
