Class E Common Stock definition

Class E Common Stock means the Class E Common Stock, par value $.01 per share, of the Company.

Class E Common Stock means, the Class E common stock, par value $0.0001 per share, of PubCo, including (a) any shares of such Class E common stock issuable upon the exercise of any warrant or other right to acquire shares of such Class E common stock and (b) any Equity Securities of PubCo that are issued or distributed or may be issuable with respect to such Class E common stock by way of conversion, dividend, stock split or other distribution, consolidation, merger, exchange, reclassification, recapitalization or other similar transaction. When used herein, Class E Common Stock consists of Series E-1 Common Stock and Series E-2 Common Stock.

Class E Common Stock has the meaning set forth in Section 3.1.

• The number of shares of Common Stock for which this Class E Common Stock Purchase Warrant (this “Warrant”) is exercisable and the Exercise Price are subject to adjustment as provided herein.

• Upon the Effective Date, all of the restricted shares of the Company's Class A Voting Common Stock, par value $.01 per share, and Class E Common Stock, par value $.01 per share, that were subject to the vesting and repurchase provisions set forth in Section 7 of the Original Agreement (collectively, the "Restricted Shares") will become fully vested, provided that the Executive remains in continuous service with the Company or any Subsidiary until such Effective Date.

• No person holding shares of Class E Common Stock of record may transfer such shares, except by testamentary disposition or by operation of law, and any purported transfer other than as permitted by the preceding clause shall be ineffective, null and void.

Class E Common Stock means the 523,557 shares of Class E Common Stock, par value $.01 per share, authorized to be issued by New Polymer upon the exercise of the Series B Warrants, containing the terms and conditions described in the Amended Modified Plan Supplement, together with additional shares subsequently issued in respect of the limited anti-dilution provisions of the Series B Warrants.
