Class D Members definition

Class D Members means holders of Class D Capital Units who have executed and agreed to be bound by this Operating Agreement.

Class D Members means the Class D Members of Genesis as defined in the Genesis Charter Documents.

Class D Members means the holders of the Class D Shares who have been admitted as Members.

• The Class B and Class C and Class D Members acknowledge and confirm that their Membership Interests constitute securities that have not been registered under any federal or state securities laws by virtue of exemptions from the registration provisions thereof and consequently cannot be sold except pursuant to appropriate registration or exemption from registration as applicable.

• Other than as expressly set forth herein, the Class B or Class C or Class D Members shall not have any right to take part in the management of the business or affairs of the Company or to act for or bind the Company, and the exercise by a Class B or Class C or Class D Member or its representative of the rights of such Class B or Class C or Class D Member under this Agreement or the Act shall not be deemed to be the conduct or control of the business of the Company.

• In addition, the Class D Members shall be entitled to certain additional rights as expressly set forth in this Agreement.

• The Foundation shall grandfather all existing Class D Members and Lots with the current rights and privileges, provided however, no new Members who purchase another class of Membership and own property in Quail West shall be allowed to choose the Class D Membership.

• Interim and final liquidating distributions (“Distributions”) to the Class A Member, the Class B Member, the Class C Members and the Class D Members shall be made in accordance with this Section.

More Definitions of Class D Members

Class D Members means all such Persons.

Class D Members means those persons issued Class D Non-Voting, --------------- Non-Managing Membership Units.

Class D Members shall have the meaning provided in the TV One LLC Agreement.

Class D Members means Members holding Class D Common Units pursuant to the Network Equity Plan and an Award Agreement. Class D Members shall not include any Initial Members (or their successors or assigns) who acquire Class D Common Units pursuant to this Agreement (including Sections 11.3, 12.1(e), 12.2(e) or 12.5(d) hereof) or the Buy/Sell Agreement.

Class D Members and "Class E Members" and PIK Preferred Members (Class A Members, Class B Members, Class C Members, Class D Members, Class E Members and PIK Preferred Members are referred to collectively as "Members"). The Class A, Class B, Class C, Class D, Class E and PIK Preferred Members shall be as set forth on Schedule I, which schedule ---------- shall be amended to reflect the addition or withdrawal of any Member.

Class D Members and "Class E Members" shall mean those Members designated as such on Schedule 1 ---------- attached hereto.
