Prior to due presentment of a Rights Certificate, the Corporation, the Rights Agent and any agent of the Corporation or the Rights Agent may deem and treat the Person in whose name such Rights Certificate (or, prior to the Separation Time, the associated Class A Share certificate or Class B Share certificate, as the case may be) is registered as the absolute owner thereof and of the Rights evidenced thereby, for all purposes whatsoever.
Certificates representing Class A Shares and Class B Shares that are issued and outstanding at the Record Time shall evidence one Right for each Class A Share and Class B Share evidenced thereby, notwithstanding the absence of the foregoing legend until the earlier of the Separation Time and the Expiration Time.
The Company shall be entitled to treat the holder of record of any Class B Share as the holder in fact of such Class B Share for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to or interest in such Class B Share on the part of any other person, whether or not it shall have express or other notice of such claim or interest, except as expressly provided by this Agreement or the laws of the State of Texas.
Upon the commencement of delivery of that Designated Company Service to the Class B Member, the Class B Share for that Designated Company Service will be deemed to have been converted into a Class A Share, a Class A Share shall be issued therefor and the Class B Share will be cancelled.
Each Member holding a Class B Share shall be entitled to have a representative appointed by the service department represented by that Class B Share (the "Class B Representative") to attend meetings of the Service Committee.
