Class B Principal Carryover Shortfall definition

Class B Principal Carryover Shortfall means, as of the close of business on any Distribution Date, the excess of Class B Monthly Principal for such Distribution Date and any outstanding Class B Principal Carryover Shortfall from the preceding Distribution Date over the amount in respect of principal that is actually deposited in the Class B Distribution Account on such Distribution Date.
Class B Principal Carryover Shortfall means, with respect to any Distribution Date, the excess, if any, of (i) the Class B Principal Distributable Amount and any outstanding Class B Principal Carryover Shortfall with respect to one or more prior Distribution Dates, over (ii) the amount of principal distributed to Class B Certificateholders on such current Distribution Date.

Distributions on this Class B Certificate will be made by the Trustee by wire transfer or check mailed to the Class B Certificateholder of record in the Certificate Register without the presentation or surrender of this Class B Certificate or the making of any notation hereon. Except as otherwise provided in the Agreement and notwithstanding the above, the final distribution on this Class B Certificate will be made after due notice by the Trustee of the pendency of such distribution and only upon presentation and surrender of this Class B Certificate at the office or agency maintained for that purpose by the Trustee in the Borough of Manhattan, The City of New York. Reference is hereby made to the further provisions of this Class B Certificate set forth on the reverse hereof, which further provisions shall for all purposes have the same effect as if set forth at this place. Unless the certificate of authentication hereon shall have been executed by an authorized officer of the Trustee, by manual signature, this Class B Certificate shall not entitle the holder hereof to any benefit under the Agreement or be valid for any purpose.
