Class B Distribution definition

Class B Distribution means with respect to Opportunity Partnership III, any distribution to the Company pursuant to Section 5.04(D) or Section 5.05(C)(4) of the Agreement of Limited Partnership of Opportunity Partnership III (the "Opportunity Partnership III Agreement") to the extent such distribution is determined in accordance with ZML REIT III's Table 2.14 Amount as set forth in Section 2.14 of the Opportunity Partnership III Agreement.
Class B Distribution has the meaning assigned to such term in the Class B Unit Supplement.
Class B Distribution means the amount distributable annually to the Class B Unitholders in respect of their Class B Units, calculated as follows:

Examples of Class B Distribution in a sentence

  • Class B: Distribution of income in EUR - Subject to a maximum Subscription and Redemption Charge of 5%.

  • With respect to any Quarter, the Class B Quarterly Distribution may be paid, as determined by the General Partner at the direction of the Audit Committee, in cash or in-kind in the form of additional Class B Units, in each case, of the same series of Class B Units (“Class B PIK Units”), in an amount equal to the applicable Class B Distribution Amount for all Outstanding Class B Units.

  • The aggregate Class B Distribution Amount (excluding any portion paid in Class B PIK Units) shall be paid out of cash and cash equivalents that is deemed to be Operating Surplus for the applicable Quarter.

  • The aggregate number of New OWMH Common Units outstanding immediately after the OWMH Class B Distribution and the ownership of the New OWMH Common Units shall be as set forth on Schedule 3.4.

More Definitions of Class B Distribution

Class B Distribution means a distribution of the amount of the Trust Assets remaining after payment of the Litigation Trust Expenses, the Loan Obligations, any amount paid by the Debtors to Xxxxx Day in connection with the Chapter 11 Cases, the Class A Distribution, and any Additional Litigation Funding Loans.
Class B Distribution has the meaning set forth in Section 4.6(b)(i).
Class B Distribution. On any Distribution Date, an amount equal to the lesser of (x) the Pool Distribution for the related Distribution Date reduced by any amounts required to be paid to the Class A Certificateholders on such Distribution Date or (y) the sum of (i) one month's interest, less the Class B Percentage of Deferred Interest, at the Pass-Through Rate on the Class B Principal Balance (net of the Class B Percentage of the amount by which the aggregate amount of interest otherwise payable on the prepaid Mortgage Loans by adjustment of the Administration Fee exceeds the related aggregate Administration Fee available for payment thereof as provided in Section 4.6 hereof), (ii) the outstanding balance in the Class B Interest Shortfall Account, (iii) the Class B Percentage of each scheduled payment of principal payable on the Mortgage Loans on the preceding Installment Due Date and (iv) the Class B Prepayment Entitlement, provided that the Class B Distribution shall be limited to an amount, which, after payment to the Class B Certificateholders, would not reduce the Class B Principal Balance below the Minimum Required Class B Principal Balance. In the event that clause (y) is greater than clause (x), distributions shall be allocated first to the interest component of the Class B Distribution calculated pursuant to clause (y)(i) of this definition; second to any balance in the Class B Interest Shortfall Account in accordance with clause (y)(ii) of this definition; and third to the principal component of the Class B Distribution calculated pursuant to clause (y)(iii) and (y)(iv) of this definition. The amount distributable pursuant to clause (x) of this definition shall never be less than zero.
Class B Distribution. The right of CAII, as a Class B Limited Partner to receive any and all distributions payable to the Class B Limited Partner in accordance with terms of the partnership agreement related to each PIF.
Class B Distribution means a distribution of the amount of the Trust Assets remaining after payment of the Litigation Trust Expenses, the Loan Obligations, any amount paid by the Debtors to Jones Day in connection with the Chapter 11 Cases, the Class A Distribution, and any Additional Litigation Funding Loans.

Related to Class B Distribution

  • Class B Distribution Amount Any of the Class B-1, Class B-2, Class B-3, Class B-4, Class B-5 or Class B-6 Distribution Amounts.

  • Class C Distribution Amount With respect to any Distribution Date, the sum of (i) the Current Interest for the Class C Interest for such Distribution Date, (ii) any Overcollateralization Release Amount for such Distribution Date and (iii) without duplication, any Subsequent Recoveries not distributed to the Class A, Class M and Class B Certificates on such Distribution Date; provided, however, that, on any Distribution Date after the Distribution Date on which the Certificate Principal Balances of the Class A, Class M and Class B Certificates have been reduced to zero, the Class C Distribution Amount shall include the Overcollateralization Amount.

  • Class IO Distribution Amount As defined in Section 5.07(f) hereof. For purposes of clarity, the Class IO Distribution Amount for any Distribution Date shall equal the amount payable to the Supplemental Interest Trust on such Distribution Date in excess of the amount payable on the Class IO Interest on such Distribution Date, all as further provided in Section 5.07(f) hereof.

  • Class B Interest Distributable Amount means the amount of interest accrued during the related Interest Period (calculated on the basis of a 360 day year consisting of twelve 30 day months) on the Class B Principal Balance as of the immediately preceding Payment Date (after giving effect to payments of principal made on such immediately preceding Payment Date) at the Class B Rate or, in the case of the first Payment Date, on the Class B Initial Principal Balance.

Notwithstanding the foregoing, (I) on any Distribution Date prior to the Stepdown Date on which the Certificate Principal Balance of each Class of Class A, Class R and Class M Certificates has been reduced to zero, the Class B Principal Distribution Amount will equal the lesser of (x) the outstanding Certificate Principal Balance of the Class B Certificates and (y) 100% of the Principal Distribution Amount remaining after any distributions on such Class A, Class R and Class M Certificates and (II) in no event will the Class B Principal Distribution Amount with respect to any Distribution Date exceed the Class B Certificate Principal Balance.

  • Class Distribution Amount As to each Combinable Class and Distribution Date, an amount equal to the distribution of principal and/or interest on such Distribution Date in respect of the Related REMIC Class multiplied by a fraction the numerator of which is equal to the Aggregate Denomination of such Class at the close of business on the related Record Date and the denominator of which is the original principal amount of the Related REMIC Class having the same letter designation. As to each RCR Class, the sum of (i) the Class Interest Distribution Amount for such Class and (ii) the Class Principal Distribution amount for such Class.
