Class B Director definition

Class B Director means any of the Initial Hxxxxx Directors, any Director elected by a separate class vote of the holders of the Class B Common Stock and any Director appointed to replace or fill any vacancy created by the removal, resignation, death or incapacity of any Class B Director.

Class B Director means any member of the AK Board nominated by the Class B Holders.

Class B Director refers to any Director nominated by the Class B Members in accordance with the provisions of these Terms of Issue.

Examples of Class B Director in a sentence

• The holders of Class A shares shall have the right to nominate two Directors (Class A Directors) and the holders of Class B shares shall have the right to nominate one Director (Class B Director).

• The Ex-Officio Director shall serve as a Class B Director by virtue of the office held.

• Any Class B Director who retires from active employment or whose employment circumstances change materially from those in effect at the time of his or her election or re-election as a director shall submit promptly to the chairperson of the Corporate Governance and Nominating Committee an offer of resignation from the Board of Directors.

• In the absence of any designation from the Persons or groups with the right to designate a Class A Director or Class B Director as specified above, the Director previously designated by them and then serving shall be reelected if still eligible and willing to serve as provided herein and otherwise, such Board seat shall remain vacant.

• Any Class B Director may be removed, with or without cause, by action of the Corporate Member.

More Definitions of Class B Director

Class B Director means a director of the Board elected by the holders of the Company’s Class B Common Stock.

Class B Director has the meaning given such term in Section 8.05.

Class B Director means a director elected by the holders of the Class B Common Stock and any director appointed to fill a vacancy in the position of a director so elected.

Class B Director means each individual elected by the Investors to serve as a member of the Board of Directors pursuant to the terms and subject to the conditions of Section 8 hereof.

Class B Director shall have the meaning ascribed to such term in the LLC Agreement.
