Class A Debt. The Class A Notes and the Class A-L Loans, collectively.
Class A Debt. Collectively, the Class A-R Notes, the Class A-T Notes and the Class A-S Notes.
Class A Debt. The Class A-1 Notes, the Class A-1F Notes and the Class A-L Loans, collectively. “Class A-1 Notes”: The Class A-1 Senior Secured Floating Rate Notes issued pursuant to this Indenture and having the characteristics specified in Section 2.3. “Class A-1F Notes”: The Class A-1F Senior Secured Fixed Rate Notes issued pursuant to this Indenture and having the characteristics specified in Section 2.3. “Class A-L Lender”: Each lender under the Class A-L Loan Agreement with respect to the Class A-L Loans. “Class A-L Loan Account”: The account established pursuant to the Class A-L Loan Agreement. “Class A-L Loan Agreement”: The loan agreement entered into as of the Closing Date by the Issuer, as borrower, the Class A-L Lenders party thereto and the Loan Agent. “Class A-L Loans”: The Class A-L Senior Secured Floating Rate Loans incurred pursuant to the Class A-L Loan Agreement and having the characteristics specified in Section 2.3. “Class A/B Coverage Tests”: The Overcollateralization Ratio Test and the Interest Coverage Test, each as applied with respect to the Class A Debt and the Class B Notes.

Examples of Class A Debt in a sentence

  • On the earliest to occur of (a) the Series 03-2 Scheduled Redemption Date in the event that the Series 03-2 Class A Debt Amount is not redeemed in full on such date, (b) the first distribution date for the Regulated Amortisation Period, or (c) the first distribution date for the Rapid Amortisation Period (any such event, a "REDEMPTION TRIGGER") then the following provisions shall apply.

  • Payment of the Account Servicing Fee is subject to maximum gross dealer concessions of 5.5% paid as commission or as an Account Servicing Fee on the sale of any 2024 Class A Debt Certificate sold under this Prospectus.

  • The Account Servicing Fee will be assessed commencing one year after the purchase of 2024 Class A Debt Certificate and will terminate when the Debt Certificate matures.

  • It is understood and agreed that matters under the Indenture that require the consent of, or any act by, all or any portion of the Class A Debt (as a whole, as opposed to the Class A-L Lenders alone) shall be governed exclusively by the Indenture (including as amended or supplemented from time to time), notwithstanding the fact that such matters are also addressed herein.

  • For each sale of a 2024 Class A Debt Certificate, whether made to a new investor or repeat investor whom has previously invested in a Company offered Certificate, the Company will pay MP Securities a processing fee of .25% of the principal amount of a 2024 Class A Debt Certificate, payable at the closing of such purchase.

  • No processing fee will be paid on additional investments made on a Variable Series 2024 Class A Debt Certificate.

  • Nothing in this Section, nor any other provision of this Agreement, shall interfere, or be deemed to interfere with or supersede, the Company’s rights and remedies under any Class A Debt Agreement upon a default thereunder, including, but not limited to, the Company’s right to foreclose on, or otherwise cancel, terminate, or acquire ownership of the Class A Units securing such Class A Debt Agreement.

  • The 1.5% sales commission will be assessed on any purchase of a 2024 Class A Debt Certificate, as described in Exhibit A, hereto which is incorporated by reference to the Agreement.

  • MP Securities will receive an Account Servicing Fee equal to 1% of the principal balance of the 2024 Class A Debt Certificate purchased, payable on a monthly basis sold under the Offering.

  • Without limiting the generality of the foregoing, the Class A-L Loans shall comprise and be a part of the Class A Debt and, as such, shall be subject to the terms and conditions of the Indenture applicable to the Class A Debt, and shall have the rights afforded in the Indenture to the Class A Debt (to the extent applicable to the Class A-L Loans).


More Definitions of Class A Debt

Class A Debt. The Class A-1 Notes, the Class A-L-A Loans and the Class A-L-B Loans, collectively. “Class A/B Coverage Tests”: The Overcollateralization Ratio Test and the Interest Coverage Test, each as applied with respect to the Class A Debt and the Class B Notes. “Class A-1 Notes”: The Class A-1 Senior Secured Floating Rate Notes issued pursuant to this Indenture and having the characteristics specified in Section 2.3. “Class A-L Lenders”: The Class A-L-A Lenders and the Class A-L-B Lenders, collectively.
Class A Debt or “Class B Debt”. Each Sub-Class will be denominated in different currencies or will have different interest rates, maturity dates or other terms. Bonds of any Class may be fixed rate bonds (“Fixed Rate Bonds”), floating rate bonds (“Floating Rate Bonds”) or index-linked bonds (“Index-Linked Bonds”) depending on the method of calculating interest payable in respect of such Bonds and may be denominated in Swedish Krona, sterling, euro, U.S. dollars, Norwegian kroner, Canadian dollars or in other currencies subject to compliance with applicable law. The terms and conditions applicable to any particular Sub-Class of Bonds are these terms and conditions (“Conditions”) completed by a set of final terms in relation to such Sub-Class (a “Final Terms”) or a drawdown prospectus (a “Drawdown Prospectus”). In the event of any inconsistency between these Conditions and the relevant Final Terms or Drawdown Prospectus, the relevant Final Terms or Drawdown Prospectus (as applicable) shall prevail.
Class A Debt is hereby added to Section 1.1 of the Credit Facility Agreement:
Class A Debt means, with respect to the Facility, the principal amount outstanding from time to time, made available by certain Xxxxxxx, initially in the amount and as designated as Class A Debt as set forth on Schedule 1;”;

Related to Class A Debt

  • Class Debt has the meaning assigned to such term in Section 8.09.

  • Principal Debt means, for a Lender and at any time, the unpaid principal balance of all outstanding Borrowings from such Lender hereunder.

  • Class A Deficiency Amount is defined in Section 4.1(a).

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A Floating Percentage means, with respect to any Monthly Period, the percentage equivalent (which percentage shall never exceed 100%) of a fraction, the numerator of which is equal to the Class A Adjusted Invested Amount as of the close of business on the last day of the preceding Monthly Period and the denominator of which is equal to the Adjusted Invested Amount as of such day; provided, however, that with respect to the first Monthly Period, the Class A Floating Percentage shall mean the percentage equivalent of a fraction, the numerator of which is the Class A Initial Invested Amount and the denominator of which is the Initial Invested Amount.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Senior Funded Debt means all Funded Debt (except Funded Debt, the payment of which is subordinated to the payment of the Notes).

  • Class A-3 Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-2-A Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-2a Notes means the Class A-2a 5.05% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.

  • Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.

  • Class A Invested Amount means, on any date of determination, an amount equal to (a) the Class A Initial Invested Amount, minus (b) the aggregate amount of principal payments made to the Class A Certificateholders on or prior to such date, minus (c) the excess, if any, of (i) the aggregate amount of Class A Investor Charge-Offs for all prior Distribution Dates over (ii) Class A Investor Charge-Offs reimbursed pursuant to subsection 4.07(b) prior to such date.

  • Class A-1 Notes means the Class A-1 4.867% Asset-Backed Notes, substantially in the form of Exhibit A-1 to the Indenture.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A Principal Parity Amount means, with respect to any Distribution Date, the lesser of (I) the excess, if any, of (x) the aggregate remaining principal balance of the Class A Notes immediately prior to such Distribution Date over (y) the Pool Balance as of the end of the immediately preceding Collection Period and (II) the amount of Total Available Funds remaining on deposit in the Collection Account after the funding of the items described in clauses (i) through (iii) of Section 5.7(a) on such Distribution Date.

  • Class B Notes has the meaning assigned to such term in the Indenture.

  • Class A Investor Interest means, on any date of determination, an amount equal to (a) the Class A Initial Investor Interest, minus (b) the aggregate amount of principal payments made to Class A Certificateholders prior to such date and minus (c) the excess, if any, of the aggregate amount of Class A Investor Charge-Offs pursuant to subsection 4.10(a) over Class A Investor Charge-Offs reimbursed pursuant to subsection 4.11(b) prior to such date of determination; provided, however, that the Class A Investor Interest may not be reduced below zero.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • B Notes means each of Note B-1 and Note B-2.
