Class A-3 Noteholders definition

Class A-3 Noteholders. Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-3 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-3 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of the Class A-3 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of the Class A-3 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-3 Interest Rate for the related Interest Period.
Class A-3 Noteholders. Monthly Accrued Interest” means, with respect to any Payment Date, the sum of the aggregate interest accrued for the related Interest Period on the Class A-3 Notes at the Class A-3 Interest Rate on the Class A-3 Note Balance immediately preceding the Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Noteholders of the Class A-3 Notes on or prior to such preceding Payment Date.
Class A-3 Noteholders means the Holders of the Class A-3 Notes.

  • All principal payments on the Class A-3 Notes shall be made pro rata to the Class A-3 Noteholders entitled thereto.

  • Without limiting the foregoing, the Issuer will cause to be distributed on each Payment Date all amounts deposited in the Note Distribution Account pursuant to the Sale and Servicing Agreement (i) for the benefit of the Class A-1 Notes, to the Class A-1 Noteholders, (ii) for the benefit of the Class A-2 Notes, to the Class A-2 Noteholders, (iii) for the benefit of the Class A-3 Notes, to the Class A-3 Noteholders and (iv) for the benefit of the Class A-4 Notes, to the Class A-4 Noteholders.

  • Without limiting the foregoing, the Issuer will cause to be distributed all amounts on deposit in the Note Distribution Account on a Distribution Date deposited therein pursuant to the Sale and Servicing Agreement (i) for the benefit of the Class A-l Notes, to Class A-1 Noteholders, (ii) for the benefit of the Class A-2 Notes, to Class A-2 Noteholders and (iii) for the benefit of the Class A-3 Notes, to Class A-3 Noteholders.

  • All actual payments to the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders by the Security Trustee pursuant to this Deed and the Master Security Trust Deed must be made in US$ in accordance with this Clause 4.2(b) and, if applicable, Clause 4.2(c).

  • The US$ Note Trustee is a party to this Deed and, in accordance with clause 1.8, the Master Security Trust Deed, in its capacity as trustee for the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders from time to time under the US$ Note Trust Deed.

  • Amount to be paid to Class A-3 Noteholders from the Note Payment Account $ 356,883.33 61 .

More Definitions of Class A-3 Noteholders

Class A-3 Noteholders means the holders of any Class A-3 Notes from time to time.
Class A-3 Noteholders. Monthly Principal Distribution Amount;

Class A-3 Noteholders. Interest Distribution Amount” shall mean, with respect to any quarterly distribution date, the sum of (a) the amount of interest accrued at the class A-3 rate for the related interest accrual period on the aggregate outstanding principal balances of the class A-3 notes immediately prior to such quarterly distribution date; and (b) the class A-3 note interest shortfall for such quarterly distribution date, as based on the actual number of days in such interest accrual period divided by 360.

Related to Class A-3 Noteholders

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.

  • Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class B Noteholders Distribution Amount” means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class A-2a Notes means the Class A-2a 5.05% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-4 Note means any of the [____]% Asset Backed Notes, Class [A-4], issued under the Indenture substantially in the form attached thereto as Exhibit A.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.
