Liquidity Facility For the period from the Closing Date until the end of the Due Period precedingthe Payment Date falling on or about the Maturity Date, the Issuer will, subject to satisfaction of certain conditions, be entitled on the Closing Date or on any other date no later than two Business Days prior to a Class A-2 Interest Date or a Payment Date to make drawings under the Liquidity Facility.
Pursuant to the terms of the Class A-2 Variable Funding Agreement each Class A-2 Noteholder has agreed that, subject as provided below, prior to the Class A-2 Commitment Termination Date, the Issuer may request Fundings (upon providing 5 Business Days prior written notice), repay such Fundings on any Class A-2 Interest Date (upon providing at least 3 Business Days’ prior written notice), and then reborrow such amounts from the Class A-2 Noteholders, in each case, in Euro and on a pro rata basis.
The “Class A-2 Interest Allocation” means, with respect to any Payment Date and any payment of interest on the Class A Notes, an amount equal to the Class A-2 Interest Ratio of the amount of interest to be paid on the Class A Notes on such Payment Date.
In the event that an Overcollateralisation Test and/or the Class A-2 Interest Coverage Test is not satisfied on any Measurement Date, all Interest Proceeds will be diverted to the Principal Account and will be applied in accordance with the Priorities of Payment.
