Class A-1R Allocated Commitment definition

Class A-1R Allocated Commitment means, at any time, the sum of the principal amount denominated in Euro and/or Sterling of the Class A-1R Commitments allocated as a reserve to fund the payment of Unfunded Amounts in respect of Revolving Obligations, provided that the Class A-1R Allocated Commitment may only be allocated (with such allocation to take place on the purchase date of the relevant Revolving Obligation) to fund payments of the Unfunded Amounts in respect of a Revolving Obligation if the minimum drawing period in respect of such Revolving Obligation exceeds the Class A-1R Notes Draw Period and provided further that Class A-1R Allocated Commitments denominated in Sterling may only be allocated in respect of Revolving Obligations the Base Currency of which is Sterling and which shall be such amount (not exceeding the aggregate Class A-1R Commitments) as is equal to the difference between (i) the aggregate Unfunded Amounts in respect of Revolving Obligations whose Base Currency is Euro or Sterling, as the case may be; and (ii) the Balance denominated in Euro or Sterling, respectively standing to the credit of the Revolving Reserve Account;
Class A-1R Allocated Commitment means, at any time, the aggregate principal amount of the Aggregate Class A-1R Commitment allocated by the Collateral Manager on behalf of the Issuer as a reserve to fund the payment of Unfunded Amounts in respect of Revolving Obligations and Delayed Drawdown Collateral Obligations, which shall be such amount (not exceeding the Aggregate Class A-1R Commitment less the Drawn Amount) as is equal to the difference between (i) the aggregate Unfunded Amounts in respect of Revolving Obligations and Delayed Drawdown Collateral Obligations and (ii) the balance standing to the credit of the Revolving Reserve Account (converted, if applicable, into Euro at the Initial Spot Rate, unless otherwise specified).
Class A-1R Allocated Commitment means, at any time, the sum of the principal amount of the Class A-1R Commitments allocated as a reserve to fund the payment of Unfunded Amounts in respect of Revolving Collateral Obligations, Delayed Drawdown Collateral Obligations and Unfunded Synthetic Securities, provided that the Class A-1R Allocated Commitment may only be allocated (with such allocation to take place on the settlement date of the purchase of the relevant Revolving Collateral Obligation, Delayed Drawdown Collateral Obligation orUnfunded Synthetic Security) to fund payments of the Unfunded Amounts in respect of a Revolving Collateral Obligation or a Delayed Drawdown Collateral Obligation or Unfunded Synthetic Securities:

Examples of Class A-1R Allocated Commitment in a sentence

  • The Principal Proceeds of any Revolver Hedged Collateral Debt Security shall be applied either (i) to reinvest in substitute Revolver Hedged Collateral Debt Securities; (ii) to redeem the Class A-1R Sterling Advance, or part thereof; (iii) to deposit such Principal Proceeds into the Revolving Reserve Account to reduce the Class A-1R Allocated Commitment denominated in Sterling; or (iv) to payment to the Principal Collection Account to be applied in accordance with the Priorities of Payments.

  • Class A1-R Sterling Advances and the Class A1-R Allocated Commitment denominated in Sterling and (ii) Class A1-R USD Advances and the Class A1-R Allocated Commitment denominated in U.S. Dollars, each converted into Euro at the then prevailing Spot Rate).

  • Class C Invested Amount means, as of a date, an amount (not less than zero) equal to (a) the initial Note Balance of the Class C Notes, minus (b) the aggregate amount of any principal payments made to the Noteholders of the Class C Notes before that date, minus (c) the cumulative amount of unreimbursed Investor Charge-Offs applied to reduce the Class C Invested Amount under Section 4.3 of the Indenture Supplement before that date, minus (d) the cumulative amount of unreimbursed Reallocated Principal Collections applied to reduce the Class C Invested Amount under Section 4.4 of the Indenture Supplement before that date.

  • Class A Initial Invested Amount means the sum of the aggregate initial principal amount of the Class A Certificates, which is $750,000,000 on the Closing Date, and the aggregate initial principal amount of any Additional Class A Certificates.

  • L/C Commitment Amount has the meaning given to that term in Section 2.3.(a).

  • Class A Floating Allocation means, with respect to any Monthly Period, the percentage equivalent (which percentage shall never exceed 100%) of a fraction, the numerator of which is the Class A Adjusted Investor Interest as of the close of business on the last day of the preceding Monthly Period and the denominator of which is equal to the Adjusted Investor Interest as of the close of business on such day; provided, however, that, with respect to the first Monthly Period, the Class A Floating Allocation shall mean the percentage equivalent of a fraction, the numerator of which is the Class A Initial Investor Interest and the denominator of which is the Initial Investor Interest.

  • Class D Invested Amount means, as of a date, an amount (not less than zero) equal to (a) the initial Note Balance of the Class D Notes, minus (b) the aggregate amount of any principal payments made to the Noteholders of the Class D Notes before that date, minus (c) the cumulative amount of unreimbursed Investor Charge-Offs applied to reduce the Class D Invested Amount under Section 4.3 of the Indenture Supplement before that date, minus (d) the cumulative amount of unreimbursed Reallocated Principal Collections applied to reduce the Class D Invested Amount under Section 4.4 of the Indenture Supplement before that date.

  • Class A Invested Amount means, on any date of determination, an amount equal to (a) the Class A Initial Invested Amount, minus (b) the aggregate amount of principal payments made to the Class A Certificateholders on or prior to such date, minus (c) the excess, if any, of (i) the aggregate amount of Class A Investor Charge-Offs for all prior Distribution Dates over (ii) Class A Investor Charge-Offs reimbursed pursuant to subsection 4.07(b) prior to such date.

  • Class B Adjusted Invested Amount means, with respect to any date of determination, an amount equal to the Class B Invested Amount less the positive difference, if any, between the Principal Funding Account Balance and the Class A Invested Amount on such date.

  • Principal Allocation Percentage means, with respect to any day during a Monthly Period, the percentage equivalent (which percentage shall never exceed 100%) of a fraction, the numerator of which is (a) during the Revolving Period, the Series Adjusted Invested Amount for Series 2022-2 as of the last day of the immediately preceding Monthly Period (or, in the case of the first Monthly Period, the Initial Invested Amount) and (b) during the Controlled Accumulation Period, the Early Amortization Period or any Partial Amortization Period, the Series Adjusted Invested Amount for Series 2022-2 as of the close of business on the date on which the Revolving Period shall have terminated and the denominator of which is the product of (x) the sum of (i) the total amount of Principal Receivables in the Trust as of the last day of the immediately preceding Monthly Period (or with respect to the first Monthly Period, the total amount of Principal Receivables in the Trust as of the Closing Date) and (ii) the principal amount on deposit in the Special Funding Account as of such last day (or with respect to the first Monthly Period, the Closing Date) and (y) the Series 2022-2 Allocation Percentage as of the last day of the immediately preceding Monthly Period; provided, however, that with respect to any Monthly Period in which an Addition Date for an Aggregate Addition or a Removal Date occurs the amount in (x)(i) above shall be (1) the aggregate amount of Principal Receivables in the Trust at the end of the day on the last day of the prior Monthly Period for the period from and including the first day of such Monthly Period to but excluding the related Addition Date or Removal Date and (2) the aggregate amount of Principal Receivables in the Trust at the end of the day on the related Addition Date or Removal Date for the period from and including the related Addition Date or Removal Date to and including the last day of such Monthly Period; and provided further, that if after the commencement of the Controlled Accumulation Period a Pay-Out Event occurs with respect to another Series that was designated in the Supplement therefor as a Series that is a “Paired Series” with respect to Series 2022-2, the Transferor may, by written notice delivered to the Trustee and the Servicer, designate a different numerator for the foregoing fraction, provided that (x) such numerator is not less than the Adjusted Invested Amount as of the last day of the revolving period for such Paired Series, (y) the Transferor shall have received written notice from each Rating Agency that the Rating Agency Condition has been satisfied with respect to such designation and shall have delivered copies of each such written notice to the Servicer and the Trustee and (z) the Transferor shall have delivered to the Trustee an Officer’s Certificate of such Transferor to the effect that, based on the facts known to such officer at such time, in the reasonable belief of such Transferor, such designation will not cause a Pay-Out Event or an event that, after the giving of notice or the lapse of time, would constitute a Pay-Out Event, to occur with respect to Series 2022-2.

  • Class A Adjusted Invested Amount means, with respect to any date of determination, an amount equal to the Class A Invested Amount less the Principal Funding Account Balance (but not in excess of the Class A Invested Amount) on such date.

  • Class C Percentage means at any time the percentage equivalent of a fraction, the numerator of which is the Outstanding Amount of the Class C Notes and the denominator of which is the sum of the Outstanding Amount of all the Notes.

  • Total Commitment Amount means, at any particular time, the aggregate of the Individual Commitments of all of the Lenders at such time.
