From the Principal Remittance Amount derived from loan group 1, sequentially, first to (x) the Class 1-A-1 and Class 1-A-2 Certificates (allocated as described below*), and then to (y) the Class 2-A-1, Class 2-A-2, and Class 2-A-3 Certificates, in that order, until the respective Class Principal Balance of such classes has been reduced to zero; and 3.
This certifies that Cede & Co. is the registered owner of a Percentage Interest (obtained by dividing the denomination of this Certificate by the aggregate Certificate Principal Balance of the Class 1-A2 Certificates as of the Issue Date) in that certain beneficial ownership interest evidenced by all the Class 1-A2 Certificates in the Trust Fund created pursuant to a Pooling and Servicing Agreement, dated as specified above (the “Agreement”), among Citigroup Mortgage Loan Trust Inc.
Any increase in the Class Certificate Balance allocated to the Class 1-A-1 Certificates pursuant to Section 5.03(b) will instead increase the Class Certificate Balance of the Class 1-A-2 Certificates.
Furthermore, on each Distribution Date from and including the first Distribution Date to and including the Final Yield Maintenance Payment Date, the Trustee shall withdraw from the Certificate Account and distribute to the Holders of Class 1-A-2 Certificates the Yield Maintenance Payment Amount.
On or prior to the Closing Date, the Trustee shall cause to be established and maintained the Yield Maintenance Account, into which amounts received by the Trustee from the Cap Counterparty pursuant to the Yield Maintenance Agreement shall be deposited for the benefit of the Class 1-A-2 Certificates.

For the Class 1-A-2 Certificates and any Distribution Date, an amount equal to the aggregate Class Certificate Balance of the Class 1-A-1 and Class 1-A-11 Certificates immediately prior to such Distribution Date.
The portion of the Trust Estate consisting of the Reserve Xxnd and the Yield Maintenance Agreement and the right of the Class 1-A-2 Certificates to receive amounts from the Reserve Fund shall not be assets of any REMIC created hereunder, but rather shall be assets of the Grantor Trust.
