City Financing Documents definition

City Financing Documents means, collectively, the Capital Lease, the Ground Lease, the SNDA and each other document executed and delivered by the City at the time of Closing.
City Financing Documents means (a) each Site Lease, (b) each Trust Agreement, (c) each Certificate Purchase Agreement, (d) each Sublease, (e) the Leaseback Lease, [(f) the Intercreditor Agreement] and (g) any other agreement, contract or understanding entered into from time to time and related to the City Financing, including any agreement relating to the issuance of commercial paper pursuant to either Trust Agreement .
City Financing Documents means the Site Lease, the Project Lease, and the indenture for the City Financing. For the avoidance of doubt, "City Financing Documents" will include any and all amendments to the foregoing Site Lease, Project Lease, and indenture that are made in connection with refinancing of the 1997 Bonds pursuant to Section 1.2(B)(3) of the Comprehensive Agreement (notwithstanding that such refinancing is expressly excluded from the foregoing definition of City Financing).

  • The obligations of the Developer set forth in the immediately preceding sentence are expressly contingent upon the City obtaining approval of the City Financing Documents (and the transactions contemplated therein) by the LGC no later than September 10, 2019.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • DIP Facility Documents means the DIP Credit Agreement and any other documents and agreements entered into in connection with the DIP Credit Agreement or the incurrence of the DIP Facility and any orders of the Bankruptcy Court related thereto or entered in connection therewith.

  • Subordinated Note Documents means the Subordinated Notes, the Subordinated Note Purchase Agreement, the “Fee Letter” under and as defined in the Subordinated Note Purchase Agreement and any other Note Document (as defined in the Subordinated Note Purchase Agreement).
