Fundamental Policies means the investment policies and restrictions as set forth from time to time in any Registration Statement of the Trust filed with the Commission and designated as fundamental policies therein, as they may be amended from time to time in accordance with the requirements of the 1940 Act.
Buyer Fundamental Representations has the meaning set forth in Section 8.01.
Fundamental Representations has the meaning set forth in Section 8.1.
Business Combination Agreement shall have the meaning given in the Recitals hereto.
Termination of parental rights means the permanent elimination of all parental rights and duties, including residual parental rights and duties, by court order.
Certificate of Incorporation means the Certificate of Incorporation of the Company, as amended from time to time.
Form of Fundamental Change Repurchase Notice means the “Form of Fundamental Change Repurchase Notice” attached as Attachment 2 to the Form of Note attached hereto as Exhibit A.
Company Charter means the Amended and Restated Certificate of Incorporation of the Company, as amended.
Seller Fundamental Representations means the representations and warranties of Seller contained in Section 3.01 (Existence and Power), Section 3.02 (Authorization), Section 3.05 (Group Companies) (other than Section 3.05(e)) and Section 3.21 (Finders’ Fees).
Parent Bylaws means the Bylaws of Parent.
