Changes Requested by Lender. Neither Landlord or Tenant shall unreasonably withhold its consent to changes or amendments to this Lease requested by the lender on Landlord's interest, so long as those changes do not alter the basic business terms of this Lease or otherwise materially diminish any rights or materially increase any obligations of the party from whom consent to such change or amendment is requested.

  • Certified counselor means an individual who is certified by a training program or certifying organization, approved by the director, that authenticates the competence of individuals who provide education and assistance to other individuals in connection with debt counseling and financial counseling functions.

  • Adequacy Decision refers to a legally-binding decision issued by the European Commission allowing the transfer of Personal Data from the European Economic Area to a third country which has been considered adequate in terms of data protection safeguards.

  • Drawdown Request means a notice substantially in the form set out in Schedule 3 (Drawdown Request).

  • Notice of Competitive Bid Borrowing has the meaning specified in Section 2.03(a).

  • Draw Request Any request by the Borrower, pursuant to Section 2.2 of this Agreement, for a disbursement of any portion of the proceeds of the Loan.

  • Additional Lender has the meaning set forth in Section 2.14(c).

  • Additional Lenders has the meaning assigned to such term in Section 2.18(b).

  • Funding Notice means a notice substantially in the form of Exhibit A-1.
