Change of Control Protection Period definition

Change of Control Protection Period means the period commencing one (1) month prior to the execution of the definitive agreement for a Change of Control and eighteen (18) months following the closing of a Change of Control.

Change of Control Protection Period means the period commencing upon the occurrence of a Change of Control through and including the twenty-four (24) month anniversary of the Change of Control. Upon delivery to Executive of such notice, together with payment of any salary accrued and unpaid under Section 1.03 hereof, Executive’s employment and all obligations of the Company under Article I hereof shall forthwith terminate. The obligations of Executive under Article IV hereof shall continue notwithstanding termination of Executive’s employment pursuant to this Section 2.01.

Change of Control Protection Period means the period beginning upon the occurrence of a Change of Control through and until the two-year anniversary of the occurrence of the Change of Control.

Examples of Change of Control Protection Period in a sentence

• The period commencing on the date a Potential Change of Control occurs and ending on the earlier of (i) the termination or abandonment of the Potential Change of Control or (ii) the conclusion of the Change of Control Protection Period.

• Following such termination of Executive’s employment before or after the Change of Control Protection Period by the Company without Cause (excluding due to death or Disability) or by Executive for Good Reason, in each case, except as set forth in this Section 5(d), Executive shall have no further rights to any compensation or any benefits under this Agreement.

• For purposes of this Section 1.01(q), during the Change of Control Protection Period, any good faith determination of “Good Reason” made by the Participant shall be conclusive.

• Following such termination of Executive’s employment during the Change of Control Protection Period by the Company without Cause (excluding due to death or Disability) or by Executive for Good Reason, in each case, except as set forth in this Section 5(e), Executive shall have no further rights to any compensation or any benefits under this Agreement.

• The Participant’s annual target bonus under the Company’s annual incentive plan as in effect, for purposes of an Eligible Termination at any time other than during the Change of Control Protection Period, immediately prior to termination of employment and, for purposes of an Eligible Termination during the Change of Control Protection Period, immediately prior to (i) termination of employment and (ii) the Change of Control, whichever is greater.

More Definitions of Change of Control Protection Period

Change of Control Protection Period means the twenty-four (24) month period beginning on the date of the Change of Control.

Change of Control Protection Period means the period following the date on which a Change of Control is consummated, as designated in the Addendum to this Policy for a Participant's applicable Salary Grade classification.

Change of Control Protection Period means (i) the three (3)-month period immediately preceding, or (ii) the twelve (12)-month period immediately following, a Change of Control.

Change of Control Protection Period means the period beginning on the sixtieth (60th) day preceding the date of the Change of Control and ending on the date of the second anniversary of the Change of Control.

Change of Control Protection Period means the twenty-four (24) month period beginning on the date of the Change of Control. The Change of Control Protection Period shall also include the six (6) month period prior to the date of the Change of Control if during such period a Qualifying Termination occurs and (i) the Qualifying Termination is at the request of (or a result of actions taken by) a third party who has taken actions reasonably calculated or intended to effect a Change of Control or (ii) the Qualifying Termination otherwise arose in connection with or in anticipation of a Change of Control. For purposes of determining the timing and amount of payments and benefits to the Participant under Section 5, the date of the actual Change of Control shall be treated as the date of the Qualifying Termination.

Change of Control Protection Period means the period commencing on the date a Change of Control occurs and ending on the second anniversary of such date.

Change of Control Protection Period means the period commencing on the date of consummation of a Change of Control and ending on the date that is twelve (12) months immediately following the consummation of a Change of Control.
