Change in Control Severance Plan definition

Change in Control Severance Plan means the Otezla Change in Control Severance Plan, as amended and restated effective as of July 25, 2019.

The terms of this Article VII shall govern and control to the extent they are inconsistent or conflict with the terms of Annex A to the Contribution Agreement, and the provisions of Sections 7.3, 7.4 and 7.5 shall be deemed to be a part of Annex A to the Contribution Agreement for purposes of the indemnification provisions of Sections 9.1(iii), 9.2(a)(iv) and 9.2(b)(iv) of the Contribution Agreement. The provisions of Section 5.1 of Annex A to the Contribution Agreement shall apply with respect to the compensation and benefit matters addressed in this Article VII.
Change in Control Severance Plan means the Ameristar Casinos, Inc. Change in Control Severance Plan, as in effect on the date of this Agreement and as it may be amended from time to time. The terms and conditions of such Plan shall be substantially similar during the Executive’s employment under this Agreement as terms and conditions of comparable deferred compensation arrangements for other senior executive officers of the Company in effect from time to time.
