Chairperson of the meeting means the Chairperson or any other Board Member or member elected to be the chairperson of a Board meeting or a general meeting of the Company' in accordance with Articles 23(a) or 56(a);

  • Chairperson means the Chairperson of the Board;

  • special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.

  • Presiding Member means the presiding member of a committee or the deputy presiding member, or a member of the committee when performing a function of the presiding member in accordance with the Act;

  • Majority Vote means a vote made by more than half of the Members who are present at a Meeting and who are entitled to vote and voting at that Meeting upon a resolution put to that Meeting.
