Certificated Note definition

Certificated Note means a Note in registered individual form without interest coupons.

Certificated Note means a certificated Note registered in the name of the Holder thereof and issued in accordance with Section 2.06 hereof, in the form of Exhibit A hereto, except that such Note shall not bear the Global Note Legend, shall not have the phrase identified by footnote 3 thereto and shall not have the “Schedule of Exchanges of Interests in the Global Note” attached thereto.

Certificated Note means any Note issued in fully-registered certificated form (other than a Global Note), which shall be substantially in the form of Exhibit A, with appropriate legends as specified in Section 2.7 and Exhibit A.

Examples of Certificated Note in a sentence

• The Paying Agent is to require, prior to any sale or transfer of any Regulation S Certificated Note, that the prospective purchaser execute and deliver to the Paying Agent and the Company a certificate in the form attached to this Agreement as Exhibit C- 2 or such other form as may be acceptable to the Paying Agent and counsel designated by the Company.

• If a Holder of a Certificated Note wishes at any time to transfer such Certificated Note to another Person, such Holder may transfer, or cause the transfer of, such Certificated Note as provided below.

• Any Purchase Money Note, if sold or transferred to a Person that (i) is not a U.S. Person and is acquiring the Purchase Money Notes in an Offshore Transaction (as such term is defined in Regulation S) in compliance with Rule 903 or Rule 904 of Regulation S and (ii) is a Qualified Purchaser purchasing for its own account or for the account of a Qualified Purchaser, will only be issued in the form of a Certificated Note (each, a “Regulation S Certificated Note”).
