Catch Up Rights definition

Catch Up Rights means the right to make available the Subscribed Channel or Subscribed Channel’s content to Subscribers on an on-demand basis, at any time after the original linear Distribution of the Subscribed Channel;
Catch Up Rights means the right to exploit the Local Series by Licensee on an FVOD and/or AVOD basis, provided that each Episode of the Local Series has initially been broadcast/transmitted on the Licensed Channel. Such Catch-Up Rights may only be exploited during the Catch Up Period:
Catch Up Rights. For each episode of the Program, during such episode’s Catch-Up Period (as defined below), Licensee is granted the non-exclusive right in the Territory in the Authorized Language to exhibit such episode on a Catch-Up Basis solely in standard definitionSD (as defined below) and solely via streaming (and, for clarity, not via permanent downloading, except in the case of buffering related to streaming delivery of the Program) (a) via athe website wholly owned, controlled and/or operated by Licensee and branded consistent with the licensedLicensed Service and located at [www._______.ca] (the “Licensee Catch-Up Website”) and (b) via set top boxes distributed by DeliveryAffiliated Systems to their subscribers in the Territory, solely within Licensed Service-branded areas (“STB Service”; and collectively with the Licensee Catch-Up Website, “Catch-Up Services”) provided that: At no single time will there be more than ten (10) episodes of the Program available on the Catch-Up Service. With respect to exploitation on a STB Service, theThe Program episodes shall be made available only to registered users whom have been authenticated as Subscribers to the Licensed Service. The Program episodes shall be made available on a Catch-Up Basis and may include advertising. Except as otherwise set out hereinfor the subscription fee necessary to receive the Licensed Service, no fee may be charged nor may any other form of consideration be received by Licensee for the offer of any Program episode on a Catch-Up Basis. Licensee shall comply at all times with the Content Protection Requirements and Obligations set forth in Exhibit 3 attached hereto and incorporated herein [NTD: comments to follow]. Licensee shall comply at all times with Exhibit 3. Without limiting the foregoing, copying or recording of the Program episodes delivered by means of the Catch-Up Services is prohibited, including, without limitation, (a) storage on a set-top box or other equipment controlled or supplied by Licensee or an Affiliated System and (b) retransmission, transfer or other copying to any other recording device or medium. Licensee shall ensure that each DeliveryAffiliated System offering Program episodes on a Catch-Up Basis by means of an STB Service shall comply with the relevant terms herein, including without limitation the Content Protection Requirements and Obligations set forth in Exhibit 3, and Licensee shall remain primarily liable to Licensor under the terms of this Agreement.

  • Best available control technology or “BACT” means an emissions limitation, including a visible emissions standard, based on the maximum degree of reduction for each regulated NSR pollutant which would be emitted from any proposed major stationary source or major modification which the reviewing authority, on a case-by-case basis, taking into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combination techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 567—subrules 23.1(2) through 23.1(5) (standards for new stationary sources, federal standards for hazardous air pollutants, and federal emissions guidelines), or federal regulations as set forth in 40 CFR Parts 60, 61 and 63 but not yet adopted by the state. If the department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard or combination thereof may be prescribed instead to satisfy the requirement for the application of best available control technology. Such standard shall, to the degree possible, set forth the emissions reduction achievable by implementation of such design, equipment, work practice or operation and shall provide for compliance by means which achieve equivalent results.

  • AHYDO Catch-Up Payment means any payment with respect to any obligations of the Borrower or any Restricted Subsidiary, including subordinated debt obligations, in each case to the extent such payment is necessary to avoid the application of Section 163(e)(5) of the Tax Code.

  • Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.

  • Disposable earnings means that part of the earnings of an

  • IP Rights has the meaning specified in Section 5.17.

  • Membership Rights means all of the rights of a Member in the Company, including a Member’s: (a) Interest; (b) right to inspect the Company’s books and records; (c) right to participate in the management of and vote on matters coming before the Company; and (d) unless this Operating Agreement or the Certificate of Formation provide to the contrary, right to act as an agent of the Company.

  • Partial Entitlement Share(s) shall have the respective meanings set forth in Section 2.12.

  • Equity Rights means, with respect to any Person, any subscriptions, options, warrants, commitments, preemptive rights or agreements of any kind (including any shareholders’ or voting trust agreements) for the issuance, sale, registration or voting of, or securities convertible into, any additional shares of capital stock of any class, or partnership or other ownership interests of any type in, such Person.

  • Attributable Liens means in connection with a sale and lease-back transaction the lesser of:

  • Net earnings available for fixed charges means net income after deducting operating and maintenance expenses, taxes other than federal and state income taxes, depreciation, and depletion, but excluding extraordinary expenses appearing in the regular financial statements of the system.
