CASHLESS EXERCISE OF OPTIONS means sales of Shares of Common Stock in connection with the simultaneous exercise of options to purchase Shares of Common Stock to the extent required to pay the applicable exercise price.

  • Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).

  • Cashless Exercise Ratio means a fraction, the numerator of which is the excess of the Current Market Value per share of Common Stock on the Exercise Date over the Exercise Price per share as of the Exercise Date and the denominator of which is the Current Market Value per share of the Common Stock on the Exercise Date.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Company Convertible Securities means, collectively, any other options, warrants or rights to subscribe for or purchase any capital shares of the Company or securities convertible into or exchangeable for, or that otherwise confer on the holder any right to acquire any capital shares of the Company.

  • Option Exercise Notice has the meaning provided in Section 3.6 below.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Option Exercise Period has the meaning set forth in Section 6.4.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Warrant Exercise Price means $0.01 per share.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Option Exercise Date has the meaning specified in Section 2.1.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Nonqualified Stock Option means an Option that is not an Incentive Stock Option.

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • DWAC Shares means shares of Common Stock that are (i) issued in electronic form, (ii) freely tradable and transferable and without restriction on resale and (iii) timely credited by the Company to the Investor’s or its designee’s specified Deposit/Withdrawal at Custodian (DWAC) account with DTC under its Fast Automated Securities Transfer (FAST) Program, or any similar program hereafter adopted by DTC performing substantially the same function.
