Cash Severance Amount definition

Cash Severance Amount means the multiple of Base Salary and the amount of bonus, if any, under the annual cash incentive plan (paid as if the Company had achieved the target level of performance for the same year as of the Participant’s Qualifying Termination of Employment) that the Participant shall be entitled to, each as specified in the Participation Agreement for such Participant.
Cash Severance Amount means, with respect to any Participant, the “Cash Severance Amount,” as set forth on Appendix B, as attached hereto, as applicable.
Cash Severance Amount means, with respect to any Participant, the “Cash Severance Amount”, as set forth on Appendix A or Appendix B, in each case, as attached hereto, as applicable, based on such Participant’s category or job title.

Examples of Cash Severance Amount in a sentence

  • If the Company terminates Executive’s employment without Cause and other than for death or Disability, or Executive terminates his employment for Good Reason, the Company shall pay Executive a Cash Severance Amount and provide Executive with the severance benefits set forth in subparagraphs (i) through (v) below (collectively, the “Severance Pay”).

  • The foregoing is referred to herein as the “Cash Severance Amount.” Employee acknowledges and agrees that he/she is not entitled to any part of the Cash Severance Amount but for their entering into this Agreement.


More Definitions of Cash Severance Amount

Cash Severance Amount means, with respect to any Participant, the “Cash Severance Amount,” as set forth on A ppendix A or A ppendix B, in each case, as attached hereto, as applicable, based on such Participant’s level.
Cash Severance Amount means the sum of Executive’s Base Salary and targeted Annual Bonus for the Fiscal Year in which the termination of employment event occurs. For this purpose, Base Salary shall be the Base Salary in effect at the time Notice of Termination is given (but prior to any reduction), and targeted Annual Bonus shall be the greater of (i) the targeted Annual Bonus for the Fiscal Year in which the termination of employment occurs or (ii) the targeted Annual Bonus for any of the prior three (3) Fiscal Years.
Cash Severance Amount means the amount of cash severance that a Participant shall be eligible to receive upon a Qualifying Termination of Employment, as set forth in the Participant’s Notice of Participation.
Cash Severance Amount means, subject to any reduction pursuant to Section 6, (i) with respect to a Tier I Employee, an amount in cash equal to three times the sum of (A) the Base Salary calculated as of the Date of Termination or, if greater, before any reduction not consented to by the Participant and (B) the Target Bonus or (ii) with respect to a Tier II Employee, an amount in cash equal to two times the sum of (A) the Base Salary calculated as of the Date of Termination or, if greater, before any reduction not consented to by the Participant and (B) the Target Bonus.

  • Severance Amount means:

  • Severance Payment means any amount paid by a board to or in behalf of a superintendent on early termination of the superinten- dent’s contract that exceeds the amount earned by the superinten- dent under the contract as of the date of termination, including any amount that exceeds the amount of earned standard salary and benefits that is paid as a condition of early termination of the con- tract. Payments to a former superintendent who remains employed by a district in another capacity or contracts with a district to pro- vide the district services may be severance payments in whole or in part if the payments are compensation for the early termination of a prior employment agreement.   • Severance Payments shall have the meaning set forth in Section 6.1 hereof.

  • Change in Control Severance Benefits means the benefits payable pursuant to Section 3 of this Agreement.

  • Accrued Amount has the meaning set forth in Section 3.1(b) of this Agreement.
