Cash Management Provider definition

Cash Management Provider any Person that, as of the Closing Date or as of the date it enters into any Cash Management Agreement, is a Lender, a Joint Lead Arranger or the Administrative Agent or an Affiliate of a Lender, a Joint Lead Arranger or the Administrative Agent, in its capacity as a counterparty to such Cash Management Agreement.

Cash Management Provider means any Person that, at the time it enters into a Cash Management Agreement, is a Lender, an Affiliate of a Lender, the Administrative Agent or an Affiliate of the Administrative Agent, in its capacity as a party to such Cash Management Agreement.

Cash Management Provider as defined in the definition of “Specified Cash Management Obligations”.

More Definitions of Cash Management Provider

Cash Management Provider means the counterparty to the Company or any Restricted Subsidiary of the Company under any Cash Management Agreement.

Cash Management Provider means any Person that provides Cash Management Services to any Loan Party if such Person was Agent, a Lender or an Affiliate of Agent or a Lender at the time such Cash Management Services were provided.

Cash Management Provider any Person that (a) as of the Closing Date or as of the date it enters into any Cash Management Agreement, is the Administrative Agent, a Joint Lead Arranger, an Incremental Facility Arranger, a Lender or an Affiliate of the foregoing, in its capacity as a counterparty to such Cash Management Agreement or (b) as of the date it enters into any Cash Management Agreement is designated in writing by the Borrower Representative with the consent of the Administrative Agent (not to be unreasonably withheld, conditioned or delayed) with respect to specified Cash Management Services and that has appointed the Collateral Agent as its collateral agent in a manner reasonably acceptable to the Collateral Agent; provided that none of the Administrative Agent, a Joint Lead Arranger, an Incremental Facility Arranger, a Lender or an Affiliate of the foregoing described in the preceding clause (a) shall cease to be Cash Management Provider by reason of ceasing to be the Administrative Agent, a Joint Lead Arranger, an Incremental Facility Arranger, a Lender or an Affiliate of the foregoing, as applicable.

Cash Management Provider means each Senior Priority Secured Party in its capacity as a party to a Cash Management Agreement under which it is owed Cash Management Obligations and which is a party to this Agreement as at the date hereof or becomes a party to this Agreement as a Cash Management Provider pursuant to a Cash Management Provider Joinder Agreement.

Cash Management Provider means any Person making credit extensions to the Borrower or any of its Subsidiaries in respect of any Cash Management Obligations to the extent such Person (i) is a Lender or an Affiliate of a Lender or (ii) is a Person that was a Lender (or an Affiliate of a Lender) at the time any such Cash Management Obligations were incurred but has ceased to be a Lender (or whose Affiliate has ceased to be a Lender) hereunder.
