Cash Award definition

Cash Award means an award denominated in cash.

Cash Award means an Award denominated in cash granted under Section 6(i).

Cash Award means an Award denominated in cash that is granted under Section 10 of the Plan.

• Payment of the Final Cash Award (if any) will not be accelerated.

• Participant may not transfer the interest in or rights in respect of the Cash Award granted under this Agreement, and no such interest or right shall be assignable or transferable, except by will or the laws of descent and distribution.

• Except as otherwise expressly provided in Section 4 above, upon Participant’s Termination of Service for any reason prior to the applicable Vesting Date, all rights with respect to any unvested and unpaid portion of the Cash Award granted pursuant to this Agreement shall automatically and without further action be cancelled and forfeited by Participant, and Participant shall not be entitled to any payment or benefits with respect thereto.

• Each such Converted Cash Award assumed and converted pursuant to this Section 2.04(a) will continue to have and will be subject to, the same terms and conditions as applied to the corresponding Company Restricted Stock Unit immediately prior to the Effective Time.

More Definitions of Cash Award

Cash Award means a bonus opportunity awarded under Section 13 pursuant to which a Participant may become entitled to receive an amount based on the satisfaction of such performance criteria as are specified in the agreement or other documents evidencing the Award (the “Cash Award Agreement”).
