Cash Alternative Amount definition

Cash Alternative Amount means, in respect of any exercise of Investor Cash Settlement Rights, an amount (rounded to nearest €0.01, with €0.005 rounded upwards) calculated by the Calculation Agent in accordance with the following formula and which shall be payable by the Issuer to a Bondholder in respect of the Reference Shares: where: CAA = the Cash Alternative Amount; S = the Reference Shares; Pn = the Volume Weighted Average Price of a Share on the nth Trading Day of the Cash Alternative Calculation Period translated, if not in euro, into euro at the Prevailing Rate on such Trading Day; and N = 25, being the number of Trading Days in the Cash Alternative Calculation Period, provided that:
Cash Alternative Amount means, in respect of each nominal amount of Equity Linked Notes equal to the Calculation Amount, an amount equal to the fair market value of such Equity Linked Notes (but not taking into account any interest accrued on such Equity Linked Note and paid pursuant to Condition 6 or Condition 8) on such day as shall be selected by the Issuer in its sole and absolute discretion provided that such day is not more than 15 days before the date that the Issuer elects to pay the Cash Alternative Amount in accordance with Physical Delivery Condition 18 less the cost to the Issuer and/or its Affiliates or agents of the Issuer of unwinding or adjusting any underlying or related hedging arrangements (including the cost of funding in respect of such hedging arrangements), all as calculated by the Calculation Agent in its sole and absolute discretion.
Cash Alternative Amount means an amount in euros calculated by the Calculation Agent in accordance with the following formula: where: CAA = the Cash Alternative Amount; S = the number of Cash Settled Shares Pn = the Volume Weighted Average Price of an Ordinary Share on the nth dealing day of the Cash Alternative Calculation Period; and N = 20, being the number of dealing days in the Cash Alternative Calculation Period, provided that if any Dividend or other entitlement in respect of the Ordinary Shares is announced in circumstances where the record date or other due date for the establishment of entitlement in respect of such Dividend or other entitlement shall be on or after the relevant Conversion Date and if on any dealing day in the Cash Alternative Calculation Period the price determined as provided above is based on a price ex-Dividend or ex-any other entitlement, then such price shall be increased by an amount equal to the Fair Market Value of any such Dividend or other entitlement per Ordinary Share as at the date of the first public announcement of such Dividend or entitlement (or, if that is not a dealing day, the immediately preceding dealing day).

More Definitions of Cash Alternative Amount

Cash Alternative Amount means the product (rounded to the nearest full cent with EUR 0.005 being rounded upwards) of (x) the Current Market Value and (y) the number of undeliverable Public Shares.
Cash Alternative Amount means an amount in euro calculated by the Calculation Agent in accordance with the following formula and which shall be payable by the Issuer to a Bondholder in respect of the relevant Cash Settled Shares:
Cash Alternative Amount means a sum in euro (rounded to the nearest whole multiple of€0.01, with €0.005 rounded up) equal to the arithmetic average of the Value on each Trading Day in the Cash Alternative Calculation Period of the relevant Cash Settled Exchange Property, as calculated by the Calculation Agent or if any doubt shall arise as to the appropriate calculation of the Cash Alternative Amount to give the intended result, or if such amount cannot be so determined, the amount determined in such other manner as an Independent Adviser shall consider in good faith to be appropriate;
Cash Alternative Amount means a sum in U.S. dollars equal to the average of the Value on each Trading Day in the Cash Alternative Calculation Period of the relevant pro rata share of the Exchange Property which, had a Cash Election not been made, would otherwise fall to be delivered to such Bondholder upon exercise of Exchange Rights in respect of the relevant Bonds;
Cash Alternative Amount means an amount calculated in accordance with the following formula and which shall be payable to a Bondholder upon an exercise of a Conversion Right if a Cash Alternative Election is applicable to such exercise: NCAA = Σ 1/N x S x Pnn=1 where: CAA=the Cash Alternative Amount;S=the number of Ordinary Shares (including, for this purpose, any fraction of an Ordinary Share but rounded, if necessary, to five decimal places, with 0.000005 being rounded up) to which the relevant Bondholder would have been entitled upon exercise of the Conversion Right in the absence of a Cash Alternative Election being applicable to such exercise, minus (if applicable) the Fixed Number of Ordinary Shares;Pn=the Volume Weighted Average Price of an Ordinary Share on the nth dealing day of the Cash Alternative Calculation Period; andN=10, being the number of dealing days in the Cash Alternative Calculation Period, provided that if any Dividend or other entitlement in respect of the Ordinary Sharesis announced and the Effective Date relating to such Dividend or entitlement is after the relevant Conversion Date and before the end of the Cash Alternative Calculation Period, then on each dealing day in the Cash Alternative Calculation Period which is on or after the Effective Date relating to such Dividend or entitlement the price determined as provided above shall be increased by an amount equal to the Fair Market Value of any such Dividend or other entitlement per Ordinary Share as at the date of the first public announcement of such Dividend or entitlement (or, if that is not a dealing day, the immediately preceding dealing day).
Cash Alternative Amount means a sum in cash in euro determined by the Calculation Agent equal to the average of the Value (rounded downwards to the nearest cent) on each Trading Day in the Cash Averaging Period of the relevant Pro Rata Share of the Exchange Property which, had a Cash Election not been made, would otherwise fall to be delivered to such Bondholder upon exercise of Exchange Rights in respect of the relevant Bonds.
Cash Alternative Amount means the product (rounded to the nearest full cent with€ 0.005 being rounded upwards) of (x) the Current Market Value and (y) the Number of Undeliverable Listed Settlement Shares, all as determined by the Calculation Agent.
