Capital Proceeds means the gross receipts received by the Company from a Capital Transaction.

Capital Proceeds means the net cash realized from the repayment, retirement, refinancing, sale or other disposition of the Fund's Real Estate Investments and Mortgage Loan investments, including payments of Principal, Interest Reserve, Gross Receipts Interest and Incentive Interest, but excluding Points and Regular Interest, after reduction for the following: (i) payment of all expenses related to the transaction; (ii) payment of all debts and obligations of the Fund arising from or otherwise related to the transaction, including fees to the Advisor or its Affiliates; and (iii) any amount set aside by the Advisor for working capital reserves; provided, however, that proceeds from a disposition of a Fund investment shall not be deemed to be "Capital Proceeds" to the extent such proceeds are reinvested by the Fund and not distributed to Stockholders.
