Capital Commitment definition

Capital Commitment means, for any Borrower, the capital commitment of its Investors in the amount set forth in the applicable Subscription Agreements; “Capital Commitments” means all such Capital Commitments, collectively.
Capital Commitment means, for any Investor, its “Commitment” as defined in the Operating Agreement.
Capital Commitment as to each Member, the total amount set forth in such Member’s Subscription Agreement delivered herewith and on the Member List, which is contributed and agreed to be contributed to the Company by such Member as a Capital Contribution.

  • Any uncalled Capital Commitment may be called by the ICAV by determination of the Directors pursuant to a Capital Call in the circumstances more particularly outlined in the Prospectus.

  • If a Member fails to contribute any portion of its uncalled Capital Commitment on the date on which such portion of the uncalled Capital Commitment is due under a Capital Call (and fails to remedy such default within such period as set out in the Prospectus) as described in the Prospectus (a “ Shortfall Amount”), the ICAV may declare such Member to be a Defaulting Member.

  • In connection with the Loan Documents and subject to Section 4.1(b)(iii), the Partnership shall be authorized to pledge, mortgage, assign, transfer and grant security interests in Investments and Subsidiaries and any other collateral identified in any of the Loan Documents; provided that the General Partner shall not have the right to (i) pledge the Capital Commitment of UST to any Person, including a lender or (ii) otherwise assign the right to call Capital Contributions from UST.

  • For the avoidance of doubt, the UST Management Fee may not be paid from drawdowns of UST’s Capital Commitment.


More Definitions of Capital Commitment

Capital Commitment means, with respect to any Operating Entity, at any time, the amount that a Service Recipient has committed at such time to contribute (either as debt or equity) to such Operating Entity as set forth in the terms of the subscription agreement or other underlying documentation with respect to such Operating Entity at or prior to such time;
Capital Commitment means the contractual commitment of an investor to provide the alternative investment fund (AIF) with an agreed amount of investment on request by the AIFM;
Capital Commitment means each investor’s commitment to contribute capital to the Trust in exchange for Shares pursuant to a subscription agreement with the Trust, and includes Subsequent Capital Commitments.
