Canadian Offering Documents definition

Canadian Offering Documents has the meaning given to it in Section 5(1)(c);
Canadian Offering Documents means each of the Canadian Preliminary Prospectus, the Canadian Prospectus and any Canadian Prospectus Amendment, including the Documents Incorporated by Reference and any Marketing Documents;

  • There are no outstanding loans, advances (except normal advances for business expenses in the ordinary course of business) or guarantees of indebtedness by the Company to or for the benefit of any of the officers or directors of the Company or any member of their respective immediate families, except as disclosed in the Registration Statement, the Disclosure Package, the U.S. Prospectus, and the Canadian Offering Documents.

  • No relationship, direct or indirect, exists between or among the Company, on the one hand, and the directors, officers, stockholders, customers or suppliers of the Company, on the other hand, which is required to be described in the Registration Statement, the Disclosure Package, the U.S. Prospectus, and the Canadian Offering Documents which has not been so described.

  • Except pursuant to this Agreement, neither the Company nor any of the Subsidiaries has incurred any liability for any finder’s or broker’s fee or agent’s commission in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby or by the Registration Statement or by the Canadian Offering Documents.

  • The capital stock of the Company, including the Shares, conforms in all material respects to each description thereof, if any, contained or incorporated by reference in the Registration Statement, the U.S. Prospectus, the Permitted Free Writing Prospectuses, if any, and the Canadian Offering Documents.

Canadian Offering Documents means each of the Canadian Preliminary Prospectus and the Canadian Final Prospectus, including any Supplementary Material;

The Company has furnished to you, for use by the Underwriters (or their U.S. affiliates) and by dealers in connection with the offering of the Shares in the United States, copies of one or more preliminary prospectuses relating to the Shares. Except where the context otherwise requires, “Preliminary Prospectus,” as used herein, means each such preliminary prospectus, in the form so furnished. The Company has also furnished to you, for use by the Underwriters (or their Canadian affiliates) in connection with the offering of the Shares in the Canadian Qualifying Jurisdictions, copies of the Canadian Preliminary Prospectus. Except where the context otherwise requires, “Prospectus,” as used herein, means the prospectus, relating to the Shares, filed by the Company with the Commission pursuant to Rule 424(b) under the Act on or before the second business day after the date hereof (or such earlier time as may be required under the Act), or, if no such filing is required, the final prospectus included in the Registration Statement at the time it became effective under the Act, in each case in the form furnished by the Company to you for use by the Underwriters and by dealers in connection with the offering of the Shares.
Canadian Offering Documents means the Prospectus and any Prospectus Amendment, including the Documents Incorporated by Reference and any Marketing Documents;
Canadian Offering Documents means the Canadian Prospectus and any Canadian Prospectus Amendment, including the Canadian Prospectus Supplement;
