The parties intend that this Agreement, including all Transactions entered into hereunder, shall be an "eligible financial contract" as such term is defined in the Bankruptcy and Insolvency Act (Canada), the Companies' Creditors Arrangement Act (Canada) and the Winding-Up and Restructuring Act (Canada) (collectively, "Canadian Insolvency Law").
The Parties agree that they will resolve any and all disputes arising out of or relating to this Agreement (each, a “Dispute”) through a binding arbitration procedure (the “Arbitration”) administered by International Centre for Dispute Resolution (ICDR) Canada, in accordance with its Canadian Arbitration Rules.
The Parties will use commercially reasonable efforts and will work in good faith to identify and agree upon an Arbitrator with significant experience in the types of transactions contemplated by this Agreement, either as a practitioner or as a neutral; provided, however, if the Parties fail to mutually select an Arbitrator, the Canadian Arbitration Rules will govern the Arbitrator selection, which shall be completed within thirty (30) days of the written application to ICDR Canada.
This Agreement is governed by, and is to be construed and interpreted in accordance with, the laws of the Province of British Columbia and the laws of Canada application therein, without regard to principles of conflicts of law.
