Call Window definition

Call Window means the time of day availability of support services coverage as described in section 6.3.
Call Window has the meaning set forth in Section 9.03(b).
Call Window means the period beginning on the Effective Date and continuing until the termination of this Agreement.

Examples of Call Window in a sentence

  • In the event that the problems leading to Vendor’s on-site assistance, whether inside or outside the Call Window, are caused by Customer’s gross misuse of the equipment, Customer shall be liable to Vendor for reimbursement at Vendor’s then prevailing time and materials charges.

  • For the charges stated herein Vendor shall furnish on-call maintenance Service during the Call Window specified in the Purchase Order hereto and as defined in this section.

  • For purpose of this section, “operational availability” is defined as “the time the system/subsystem, for which the equipment specified in any Purchase Order hereto was purchased, is available to the users to do useful work.” Percentage of operational availability (“OA”) as so defined shall be determined by application of the formula OA = A − (B + C) where A −C A = the hours of the Call Window during the given month.

  • All equipment shall have the Call Window specified herein covering such equipment, which Call Window excludes customer holidays unless otherwise stated.

  • The Call Window for basic coverage shall begin at 8:00 a.m. daily and shall consist of consecutive hours selected.

  • The installation shall be at no charge if done concurrently with preventive maintenance, at another time in response to a call placed within the Call Window, or as mutually agreed upon.

  • Vendor will respond to telephone remedial maintenance requests received during the Call Window within a response time of fifteen (15) minutes.

  • Vendor will respond to telephone remedial maintenance requests outside of the Call Window in the same response time and manner as if inside the Call Window and will, outside the Call Window, supply repair personnel on site for noticed problems not solved by telephone remedial assistance within the time period and for the additional charges set forth in the Purchase Order.

  • The Call Window on Monday through Friday shall be the same each day, and the Call Window on Saturday and Sunday shall be the same on all Saturdays and/or Sundays.

  • In response to calls placed during the Call Window, Vendor will provide and bear the cost or parts and labor required to maintain the equipment in accordance with the warranty and services provisions hereof, provided that such labor and parts are needed because of normal wear-and-tear.

  • Call Period shall have the meaning set forth in Section 6(c) hereof.

  • Call Date The date on which the Call Right may be exercised, as specified in the applicable Supplement.

  • Call and Put Period means the period commencing on and including the Issue Date to and including the day after 14 July 2021 or, if such date is not a Business Day, the next following Business Day.

  • First Call Date means the date falling 24 months after the Issue Date or, to the extent such day is not a Business Day, the Business Day following from an application of the Business Day Convention.

  • Call Notice shall have the meaning specified in Section 1.1 of the Warrant Agent Agreement.

  • Issuer Call Commencement Date means the date specified as such in the definition of the relevant Series in the applicable Final Terms;

  • Applicable Par Call Date means, (i) with respect to the 2031 Notes, September 15, 2031 (three months prior to the stated maturity date of such 2031 Notes) and (ii) with respect to the 2051 Notes, June 15, 2051 (six months prior to the stated maturity date of such 2051 Notes).

  • Call Option Period has the meaning given to it in Condition 6.04 (Call Option);

  • SOFR Observation Shift Days means the number of U.S. Government Securities Business Days as specified in the applicable Pricing Supplement; and

  • Par Call Date means March 1, 2025.

  • Observation Shift Days means the number of London Banking Days specified in the relevant Final Terms; and

  • Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or email by the Investor if such notice is received prior to noon Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after noon Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.

  • Delivery Year means the Planning Period for which a Capacity Resource is committed pursuant to the auction procedures specified in Tariff, Attachment DD, or pursuant to an FRR Capacity Plan under Reliability Assurance Agreement, Schedule 8.1. Demand Bid:

  • Call Option Date As defined in Section 10.01(a) hereof.

  • Pricing Period means the five (5) consecutive Trading Days after the Advance Notice Date.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Delivery Day means a day other than a Saturday, a Sunday or any other day on which national banking associations are authorized to be closed. Any party may change its address for purposes of the receipt of notices and demands by giving notice of the change in the manner provided in this provision.

  • Clean-Up Call Date The first Remittance Date following the date on which the aggregate Loan Balances of all Mortgage Loans has declined to 10% or less of the aggregate principal balance of the Mortgage Loans as of the Startup Day.

  • polling day means the day fixed for holding the poll at an election;

  • Blackout Notice has the meaning set forth in Section 2.01(d).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Proposal Due Date means the date and time specified in the Proposal Invitation, or any addenda thereto, by which Vendors are required to submit Proposals for this Proposal Invitation.

  • VWAP Purchase Notice means an irrevocable written notice from the Company to the Buyer directing the Buyer to buy Purchase Shares on the VWAP Purchase Date pursuant to Section 1(c) hereof as specified by the Company therein at the applicable VWAP Purchase Price with the applicable VWAP Purchase Share Percentage specified therein.

  • RFR Banking Day means any day specified as such in the Reference Rate Terms.

  • Mailing Date has the meaning set forth in Section 2.1(a).

  • Retraction Date means the second last business day of a month.
