Call Shares definition

Call Shares has the meaning set forth in Section 8.5.

Call Shares means 26,688,361 shares of Class B Common Stock, as such amount may be adjusted (x) as a result of a stock dividend or distribution on, stock split or reverse stock split of, or similar event with respect to, Call Shares or (y) in a merger, consolidation, combination, reclassification, recapitalization or similar transaction involving the Company.

Call Shares shall have the meaning specified in Section 3.2(a) hereof.

Examples of Call Shares in a sentence

• The Purchaser agrees that, to the extent that it fails to pay the FPS Purchase Price when required in accordance with Section 1 hereof and such failure to pay remains uncured after five (5) Business Days’ notice from the Company, the Purchaser shall forfeit its right to acquire Call Shares pursuant to Section 1(a)(iv).

• Each such Sponsor Stockholder that receives such a notice from the Company shall have three (3) Business Days following its receipt of such notice to notify the Company in writing of its desire to purchase its Participating Sponsor Pro Rata Portion of such Sponsor Call Shares with respect to which Sponsor Stockholders shall not have exercised their Sponsor Call Right.

• Subject to the Closing, this Agreement shall become effective on the Closing Date, and unless terminated at an earlier date by the mutual agreement of all Parties (including Persons that become Shareholders hereafter), this Agreement shall continue in full force and effect until the consummation of a purchase and sale of the Put Shares pursuant to the exercise of the Put Option in accordance with Section 6.1 or of the Call Shares pursuant to the exercise of the Call Option pursuant to Section 6.2.

• If the Call Right is timely exercised, Investors and the Company shall consummate the transfer of the Call Shares as promptly as practicable but in no event later than ten (10) business days following the date the Call Exercise Notice is delivered (such 10th business day, the “Call Purchase Date”).

• Within fifteen (15) Business Days following delivery of the Call Prompt, the Purchaser may deliver a notice (the “Call Notice”) to the Company and each Sponsor specifying the number of Call Shares, which shall be a whole number no greater than the Call Cap, that the Purchaser will purchase pursuant to this Section 1(a)(iv).

Xxxxxx X. Paxson, Second Cxxxxxx Xxxxxxx Limited Partnership, Pxxxxx Enterprises, Inc. and NBC Palm Beach Investment II, Inc.

Call Shares shall have the meaning ascribed to it in Section 6.2(a).

Call Shares means the 8,311,639 shares of Class B Common Stock and 15,455,062 shares of Class A Common Stock owned by the Call Stockholders, and any shares of common stock of the Company or other securities that may be received by the Call Stockholders with respect to such Call Shares (x) as a result of a stock dividend or distribution on, stock split or reverse stock split of, or similar event with respect to Call Shares or (y) on account of Call Shares in a merger, consolidation, combination, reclassification, recapitalization or similar transaction involving the Company.

Call Shares shall have the meaning ascribed to such term in Section 2.2(d) hereof.
