Nothing in this Schedule 3 will in any way restrict or limit the general obligation at Law of the Buyer (and of the Buyer’s Group) to mitigate any loss or damage which it may suffer as a result of any matter giving rise to any Relevant Claim.
The Buyer acknowledges, agrees and undertakes that it shall not, shall have no right to, and shall procure that no member of the Buyer’s Group shall, bring any suit, action or proceeding (including arbitration) in respect of any Relevant Claim against any of the Employees, the Sellers’ Affiliates or their respective directors, officers, members, representatives, advisers, or any general partner or managing company of the relevant Seller(s)’ Affiliate.
The Sellers shall not be liable in respect of a Relevant Claim (other than in respect of any Fundamental Warranty Claim) to the extent that the Relevant Claim relates to any Loss which is recoverable by the Buyer (or any assignee or successor in title thereof), or any member of the Buyer’s Group from its insurers (including W&I Insurers).
No Seller makes any representation or warranty as to the accuracy of any forecasts, estimates, projections, statements of intent or opinion or other forward looking statements provided to the Buyer, any member of the Buyer’s Group or to its or their advisers on or prior to the date of this Deed (including any documents contained in the Data Room).
Any sum actually recovered by the Buyer or any other member of the Buyer’s Group (less any reasonable out of pocket expenses incurred by the Buyer or any other member of the Buyer’s Group in recovering the sum and any Tax attributable to or suffered in respect of the sum recovered) will reduce the amount of the Relevant Claim by an equivalent amount.
