Buyer Stock definition

Buyer Stock means the common stock, par value $0.001 per share, of Buyer.

Buyer Stock means the Buyer Common Stock and the Buyer Preferred Stock.

Buyer Stock shall have the meaning set forth in Section 2.1(b).

• Upon consummation of the Share Purchase, Buyer shall own all of the Shares, free and clear of all Encumbrances, subject only to Seller’s lien securing payment of the Purchase Price under the Buyer Stock Pledge Agreement.

• Upon issuance of Buyer Stock to any Seller who elected to receive such shares in lieu or some or all of the Cash Consideration otherwise payable to such Seller at Closing pursuant to Section 2.2(b)(i), all such Buyer Stock shall be duly authorized by Buyer or the other applicable issuer thereof, and shall be deemed fully paid and non-assessable.

• There are 41,921,609 shares of Buyer Stock (including 2,496,175 shares held by Buyer as treasury shares) issued and outstanding.

Buyer Stock means the common stock, par value $0.0001 per share, of Buyer.
