Buyer SEC Reports definition

Buyer SEC Reports has the meaning set forth in Section 4.6.

Buyer SEC Reports means all reports, statements (including registration and proxy statements), schedules, forms, certifications or other document (including exhibits and all other information incorporated therein) filed by Buyer with the SEC and accessible on the SEC’s website at wxx.xxx.xxx.

Buyer SEC Reports shall have the meaning set forth in Section 5.6 of this Agreement.

Buyer SEC Reports means all publicly available forms, reports, statements, certificates and other documents filed with or furnished to the SEC by the Buyer after December 31, 2009 and prior to the date hereof (excluding any disclosures set forth in any section of a Buyer SEC Report entitled “Risk Factors” or “Forward-Looking Statements” or any other disclosures included in such filings to the extent that they are forward-looking in nature).
