Buyer Required Regulatory Approvals definition

Buyer Required Regulatory Approvals has the meaning set forth in Section 5.3(b).

Buyer Required Regulatory Approvals means (i) the filings by Seller and Buyer required by the HSR Act and the expiration or earlier termination of all waiting periods under the HSR Act, (ii) CFIUS Approval, and (iii) the approvals set forth on Schedule 1.1-A.

Buyer Required Regulatory Approvals means the Required Regulatory Approvals set forth in Schedule 5.3(b).

• This Agreement and the Ancillary Agreements have been duly and validly executed and delivered by Seller and, assuming that this Agreement and the Ancillary Agreements constitute valid and binding agreements of Buyer and each other party thereto, subject to the receipt of the Seller Required Regulatory Approvals and the Buyer Required Regulatory Approvals, constitute valid and binding agreements of Seller, enforceable against Seller in accordance with their respective terms.

• Without limiting the foregoing, Buyer is not aware of any reason or circumstance that would prevent Buyer from procuring Buyer Required Regulatory Approvals associated with Exempt Wholesale Generator (as defined in the Public Utility Holding Company Act of 1935) status and market-based rate authorization specified in items 3 and 2 of Schedule 5.3(b).

• As of the date of this Agreement, Seller is not aware of any reason relating to it, the Company or their Affiliates that all Buyer Required Regulatory Approvals, other than the Tariff Restructuring, are not likely to be timely obtained.

More Definitions of Buyer Required Regulatory Approvals

Buyer Required Regulatory Approvals means the SEC Approval and the Buyer FERC Approvals.

Buyer Required Regulatory Approvals means (i) the filings by Seller and Buyer required by the HSR Act and the expiration or earlier termination of all waiting periods under the HSR Act, (ii) approval by the Arkansas Public Service Commission, (iii) approval by the Oklahoma Corporation Commission, (iv) the approvals by FERC identified in Section 7.8(a) and (v) the approvals set forth on Schedule 1.1-A.

Buyer Required Regulatory Approvals means the following filings or approvals: (i) the filings by Seller and Buyer required by the HSR Act and the expiration or early termination of all waiting periods under the HSR Act, (ii) the State Transaction Approvals, (iii) the FERC Transaction Approvals, (iv) the FERC 204 Approval, and (v) the FERC 205 Approval.

Buyer Required Regulatory Approvals means the approvals set forth on Exhibit 1.1(C).

Buyer Required Regulatory Approvals means the approvals set forth on Schedule 1.1(a), which shall include compliance with and filings under the requirements of the HSR Act.
