Buyer Representative definition

Buyer Representative means the person(s) so designated on Schedule C hereto or any other person designated in a writing signed by Buyer and delivered to Escrow Agent and the Company Representatives in accordance with the notice provisions of this Escrow Agreement, to act as its representative under this Escrow Agreement.

Buyer Representative means any director, officer, employee, manager, agent, consultant, distributor or other representative of any Buyer Group Member.

Buyer Representative shall have the meaning set forth in Section 5.3 hereof.

Examples of Buyer Representative in a sentence

• In the event of any conflict between the terms of the Intercreditor Agreement and this Agreement governing the priority of the security interests granted to the Buyer Representative or the exercise of any right or remedy, the terms of the Intercreditor Agreement shall govern and control.

• In addition, the Seller hereby agrees to pay to the Buyer Representative the Revenue Payments on the terms and conditions set forth in this Agreement.
