Buyer PII definition

Buyer PII means any Buyer Data that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or household. Buyer PII includes, without limitation, data regulated as personal information or personal data by Privacy and Security Laws.

  • Seller will implement and maintain appropriate processes to enable the access to and/or modification and/or correction of Buyer PII.

  • Seller will preserve the accuracy of Buyer Confidential Information and, where required by applicable law or as otherwise directed by Buyer, Seller will update, amend, correct, or delete Buyer PII that Buyer informs Seller, or Seller otherwise knows, is inaccurate or incomplete.

  • Seller segregates logically all Buyer PII or Personal Data Handled under this Agreement from all other information when such segregation is specified in the Agreement and/or SOW to which this Addendum is attached and expressly incorporated.

  • Debtor may transfer to Buyer PII (other than information about certain audio-visual materials described in subparagraph (c) below) that was collected after May 27, 2008, pursuant to Debtor’s May 27, 2008 Privacy Policy, provided that (i) Buyer adheres to all material terms in Debtor’s May 27, 2008 Privacy Policy (or terms that are at 99 Indeed, the Ombudsman delayed filing this Report to allow the parties an opportunity to reach agreement.

  • If Seller, or its Subcontractor, suspect, discover or are notified of a data security incident or potential breach of security and/or privacy relating to Buyer PII, PHI and/or PCI, Seller shall immediately, but in no event later than forty-eight (48) hours from suspicion, discovery or notification of the incident or potential breach, notify Buyer of such incident or potential breach.

  • Seller represents and warrants that from the first date of the Transaction and for so long as it maintains, acquires, discloses, uses, or has access to Buyer PII, PHI and/or PCI thereafter, Seller shall be in compliance with the Data Privacy Standards and that it shall notify the Buyer in writing immediately if it is no longer in compliance with such Data Privacy Standards.

  • In addition to the foregoing, Seller shall provide Buyer with any assistance necessary to comply with any state and/or federal laws requiring the provision of notice of any privacy incident or security breach with respect to any Buyer PII, PHI and/or PCI to the affected or impacted individuals and/or organizations, in addition to any notification to applicable state and federal agencies.

Related to Buyer PII

  • Issuer PII means PII furnished by the Issuer, the Servicer or their Affiliates to the Asset Representations Reviewer and PII developed or otherwise collected or acquired by the Asset Representations Reviewer in performing its obligations under this Agreement.

  • Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.

  • Buyer Party means each Affiliate of Buyer that is, or is contemplated by this Agreement to become at the Closing, a party to one or more Transaction Agreements. For clarity, none of the Acquired Companies shall be deemed to be a “Buyer Party” hereunder.

  • PII has the meaning stated in Section 4.10(a).

  • Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.

  • Buyer has the meaning set forth in the preamble.

  • Personally Identifiable Information (PII as applied to student data, means personally identifiable information as defined in 34 CFR Section 99.3 implementing the Family Educational Rights and Privacy Act, 20 USC Section 1232g, and, as applied to teacher or principal data, means personally identifying information as this term is defined in Education Law Section 3012-c(10).

  • Seller Confidential Information has the meaning set forth in Section 6.4.3.

  • Seller IP means (a) all Intellectual Property Rights in or pertaining to the Seller Products or methods or processes used or incorporated in the Seller Products, and (b) all other Intellectual Property Rights owned by or exclusively licensed to the Seller.

  • Disclosing Party means the Party disclosing Confidential Information to the Receiving Party.

  • Purchaser/ User means ultimate recipient of goods and services

  • Student personally identifiable information or “student PII” means information that, alone or in combination, personally identifies an individual student or the student’s parent or family, and that is collected, maintained, generated, or inferred by the district, either directly or through a school service, or by a school service contract provider or school service on-demand provider.

  • Third Party Buyer means any Person other than (i) the Company or any of its Subsidiaries, (ii) any employee benefit plan of the Company or any of its Subsidiaries, (iii) the Investors or (iv) any Affiliates of any of the foregoing.

  • Buyer Confidential Information shall have the meaning set forth in Section 5.1.

  • Seller has the meaning set forth in the Preamble.

  • Purchaser Confidential Information means all confidential or proprietary documents and information concerning the Purchaser or any of its Representatives; provided, however, that Purchaser Confidential Information shall not include any information which, (i) at the time of disclosure by the Company, the Seller Representative or any of their respective Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Purchaser or its Representatives to the Company, the Seller Representative or any of their respective Representatives, was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Purchaser Confidential Information. For the avoidance of doubt, from and after the Closing, Purchaser Confidential Information will include the confidential or proprietary information of the Target Companies.

  • Buyer Parent has the meaning set forth in the Preamble.

  • Receiving Party Personnel has the meaning set forth in Section 37(d).

  • Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.

  • Third Party Vendor means any person or entity that provides SaaS, third party software and/or related intellectual property. “Work” means any additional work the Customer requests Singtel to perform in relation to the Service.

  • Personally identifying information means information, including health information, that could be used to commit fraud or other illegal activity involving the credit, access to health care or identity of an “affected individual”. This includes, but is not limited to, Social Security numbers or account numbers.

  • Subscriber Data means all data, information and other content provided by or on behalf of Subscriber to the Service, including that which the Account Users input or upload to the Service.

  • BIDDER/Seller which expression shall mean and include, unless the context otherwise requires, his successors and permitted assigns) of the second part.

  • Buyer Group has the meaning set forth in Section 15.1.

  • Unique entity identifier means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).
