Buyer Party definition

Buyer Party means each Affiliate of Buyer that is, or is contemplated by this Agreement to become at the Closing, a party to one or more Transaction Agreements. For clarity, none of the Acquired Companies shall be deemed to be a “Buyer Party” hereunder.
Buyer Party means Buyer or any Affiliate of Buyer that is a party to any Transaction Document.
Buyer Party or “Buyer Parties” means Buyer, any Affiliate of Buyer, and any of their respective contractors, subcontractors, employees, laborers, materialmen, agents or representatives which is not a competitor of Siemens.

  • Except as otherwise provided herein, any indemnification of the Buyer Parties or the Seller Parties pursuant to this Section 5.2 shall be effected by wire transfer of immediately available funds from the applicable Seller or Buyer, as the case may be, to an account(s) designated by the applicable Buyer Party or applicable Seller, as the case may be, within ten (10) days after the determination thereof.
