Buyer Fundamental Representations definition

Buyer Fundamental Representations has the meaning set forth in Section 8.01.

Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.

Buyer Fundamental Representations means the representations and warranties set forth in Section 5.1 (Organization; Authority; Enforceability), Section 5.2 (Capitalization), Section 5.3 (Brokerage), Section 5.4 (Trust Account) and Section 5.12 (Investment Intent).

• Term 1: LEVEL I & II If a student receives three (3) or more Needs Improvement (NI’s) for any clinical criteria, this will result in an Unsatisfactory (U) for that criteria at the end of the clinical rotation.

• From and after the Closing in accordance with the terms provided herein, the Buyer Parties will indemnify, save and hold harmless each of the Equityholder Indemnified Parties from and against any and all Losses incurred in connection with, arising out of or resulting from (i) any breach of any covenant or agreement made by any Buyer Party in this Purchase Agreement and (ii) any breach or inaccuracy of any of Buyer Fundamental Representations.

• The Buyer Fundamental Representations shall be true and correct as of the date of this Agreement and as of the Closing as though made at and as of the Closing.

More Definitions of Buyer Fundamental Representations

Buyer Fundamental Representations means the representations and warranties set forth in Section 7.1 (Organization, Good Standing and Qualification of Buyer), Section 7.3 (Authorization) and Section 7.4 (No Conflicts; Consents).
