Buyer Employee Plans definition

Buyer Employee Plans shall have the meaning set forth in Section 4.12 hereof.

More Definitions of Buyer Employee Plans

Buyer Employee Plans means all “employee benefit plans” within the meaning of Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”), all formal written plans and all other compensation and benefit plans, contracts, policies, programs and arrangements of the Buyer or of any Buyer Subsidiary whom the Buyer causes to hire a Transferred U.S. Employee pursuant to ARTICLE VI (other than routine administrative procedures) in effect as of the Closing Date, including all pension, savings and thrift, bonus, or other cash incentive or deferred compensation, severance pay and medical and life insurance plans in which any of the employees of the Buyer or any applicable Buyer Subsidiary (or dependents of such employees) participate.
Buyer Employee Plans means (a) all material employee benefit plans (within the meaning of Section 3(3) of ERISA), (b) all material retirement, superannuation, welfare benefit, bonus, thirteenth month, stock option, stock purchase, phantom or stock equivalent, restricted stock, incentive, supplemental retirement, deferred compensation, profit sharing, retiree health, hospitalization, medical, dental, vision, life insurance, death benefit, sick pay, disability, severance, termination indemnity, redundancy pay, educational assistance, holiday pay, housing assistance, moving expense reimbursement, Code Section 125 flexible benefit, or vacation plans, programs or agreements and (c) all individual employment, retention, termination, severance or other similar agreements of Buyer and Parent.

Buyer Employee Plans means: (i) all employee benefit plans (as defined in Section 3(3) of ERISA) and all bonus, stock option, stock purchase, restricted stock, incentive, deferred compensation, retiree medical or life insurance, supplemental retirement, severance or other material benefit plans, programs or arrangements, and all employment, termination or severance Contracts to which Buyer or any of its Subsidiaries is a party (except for offer letters or employment agreements that provide for employment that is terminable at will and without material cost or liability to Buyer or its Subsidiaries), with respect to which Buyer or any Buyer Affiliate has or could reasonably be expected to have any obligation or that are maintained, contributed to or sponsored by Buyer or any of its Subsidiaries for the benefit of any current or former employee, officer or director of Buyer or any of its Subsidiaries and (ii) and any material consulting contracts, arrangements or understandings between Buyer or any Buyer Subsidiary and any natural person consultant of Buyer or any Buyer Subsidiary.
Buyer Employee Plans shall have the meaning ascribed to such term in subsection (o)(ix) of Schedule B;
Buyer Employee Plans means any “employee pension benefit plan” covered under Section 3(2) of ERISA, any material “employee welfare benefit plan” covered under Section 3(1) of ERISA, and any other material plan, agreement or arrangement, written or oral, involving compensation or benefits, including insurance coverage, severance benefits, disability benefits, deferred compensation, bonuses, stock options, stock purchase, phantom stock, stock appreciation or other forms of fringe benefits, perquisites, incentive compensation or post-retirement compensation or post-employment compensation and all material employment, management, consulting, relocation, repatriation, expatriation, visa, work permit, change in control, severance or similar agreements or contracts, written or oral, maintained, or contributed to or required to be contributed to during the last six (6) years by Buyer or any of its Subsidiaries for the benefit of, or relating to, any current or former employee, officer, director or consultant of Buyer or any of its Subsidiaries.
