Buyer Consultant definition

Buyer Consultant has the meaning set forth in Section 5.11(b).
Buyer Consultant as defined in Section 8.1.
Buyer Consultant means ECS Limited, a construction consultant chosen by Buyer, who has previous experience with construction similar to the construction planned for the Properties.

  • Buyer agrees that in the event Buyer’s environmental engineer advises Buyer that it is necessary under applicable laws to notify any federal, state or local governmental authority of any event or condition on or about the Property as a result of any findings in any Testing, Buyer shall immediately notify Xxxxx Xxxxxx (telephone no.: 000-000-0000) and Xxxxx Xxxxxx, and, at Seller’s sole election, Seller, not Buyer or any Buyer Consultant, shall give such notification as Seller deems appropriate.

  • This Agreement may not be amended except by an instrument in writing signed on behalf of each of Buyer, Consultant, Holdco and the Company.

  • If Seller does not so notify such governmental authority in a timely manner after such notice, Buyer or a Buyer Consultant may do so, but only if required by law to make such disclosure.

  • Seller and Seller Consultant shall reasonably consult with Buyer and Buyer Consultant throughout the construction of each of the Construction Projects, in order to apprise Buyer Consultant and Buyer of the progress of the construction of the Improvements.

  • In the event that the Buyer Consultant and the Sellers Consultant shall disagree as to whether an Environmental Condition exists within 15 days from the date of Sellers’ receipt of the Phase I Reports, Sellers and Buyer will immediately appoint a third independent environmental consulting firm to resolve the matters in dispute and determine if an Environmental Condition exists, and the determination of such independent environmental consulting firm will be final, binding and conclusive on the Parties.

  • The fees and expenses of the Buyer Consultant shall be borne by Buyer.

  • Seller agrees that, other than Seller's right to have a consultant designated by Seller to observe the Buyer Consultant, neither Seller nor any of its Affiliates will have rights to use or disclose the Information and Inventions contained in the Buyer Mixed Notebook Portion to the extent, subject to Section 5.2(a), such Information and Inventions remain Buyer Confidential Information.

  • As soon as practicable, but in any event prior to July 7, 2011, Buyer shall deliver to Sellers all written Phase I Reports prepared by the Buyer Consultant.

  • While this Agreement is in effect and as requested by Buyer, Consultant shall provide computer programming, system analysis, design, training, data processing, consulting or related services (the "Services") as further described in Schedule A (the "Work Order") and in such additional Work Orders that the parties may sign from time to time.

  • Buyer shall provide Seller with copies of any reports generated for Buyer by the Buyer Consultant.

Related to Buyer Consultant

  • Environmental Consultant has the meaning set forth in Section 5.17(a).

  • Independent Consultant means the independent individual, firm, or organization with which the SBA contracts to prepare the Premium Formula and any other actuarial services for the FHCF, as determined under the contract with the Consultant.

  • Subconsultant means any person or entity to whom/which the Consultant subcontracts any part of the Services in accordance with the provisions of GCC Clause 50.

  • Due Diligence Service Provider As defined in Section 12.13(l) of this Agreement.

  • Design Consultant means Design Consultant or Design Consultant's authorized representative.

  • Buyer’s Representatives has the meaning set forth in Section 6.02.

  • Construction Consultant means a third-party architect or engineer selected and retained by Funding Lender, at the cost and expense of Borrower, to monitor the progress of construction and/or rehabilitation of the Project and to inspect the Improvements to confirm compliance with this Borrower Loan Agreement.

  • Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.

  • Consulting Firm has the meaning set forth in Section II.A.4.

  • Consulting Engineer /"Consultant" shall mean any firm or person duly appointed as such from time to time by the owner.

  • Sellers’ Representative has the meaning set forth in the Preamble.

  • The Consultant means the person, partnership or company with whom this Contract is placed.

  • Casualty Consultant shall have the meaning set forth in Section 6.4(b)(iii) hereof.

  • Consultant means any person, including an advisor, engaged by the Company or a Parent or Subsidiary to render services to such entity.

  • Shareholders’ Representative has the meaning set forth in the Preamble.

  • Intel means Intel Corporation, a Delaware corporation.

  • Engineer’s Representative means the official in the civil/ electrical engineering department who is authorized to be in-charge of the work to which these presents relate. It shall include any other official nominated to attend to the supervision of day to day execution of the work to which this CONTRACT relates.

  • Consulting Engineers means the independent engineer or engineering firm or corporation employed in connection with any Project to perform and carry out the duties of the Consulting Engineer under this Indenture or any Supplemental Indenture.

  • Operating Advisor Consulting Fee A fee for each Major Decision on which the Operating Advisor has consultation rights equal to $10,000 or such lesser amount as the related Mortgagor pays with respect to any Serviced Mortgage Loan (or Serviced Loan Combination, if applicable), payable pursuant to Section 3.06(a) and Section 3.06A(a) of this Agreement; provided, that the Operating Advisor Consulting Fee shall be payable only to the extent such fee is actually received from the related Mortgagor as a separately identifiable fee; provided, further that the Operating Advisor may in its sole discretion reduce the Operating Advisor Consulting Fee with respect to any Major Decision; and provided, further that the Master Servicer or Special Servicer, as applicable, may waive or reduce the amount of any Operating Advisor Consulting Fee payable by the related Mortgagor if it determines that such full or partial waiver is in accordance with the Servicing Standard (provided that the Master Servicer or the Special Servicer, as applicable, shall consult with the Operating Advisor on a non-binding basis prior to any such waiver or reduction).
