Business Intellectual Property definition

Business Intellectual Property means the Licensed Intellectual Property and the Owned Intellectual Property.

Business Intellectual Property means all Intellectual Property that is currently owned by Seller or any of its Subsidiaries for the benefit of the Business or by any Business Subsidiary or used in the business of the Business or any Business Subsidiary or that is necessary to conduct the business of the Business or the Business Subsidiaries as presently conducted.

Business Intellectual Property shall have the meaning set forth in Section 4.12.

Examples of Business Intellectual Property in a sentence

• So far as the Vendor is aware, no person has infringed, is infringing or is threatening to infringe and nothing has been done or is being done and no circumstances exist which give or are likely to give rise to infringement of, any Business Intellectual Property Right.

• The procedure and timeframe for the Vendor transferring documents and assets containing the Business Intellectual Property Rights to the Purchaser.

• No current or former director, officer, employee, contractor or consultant of any Seller owns any rights in or to any Business Intellectual Property.

Business Intellectual Property means Intellectual Property Rights either owned or licensed by an Acquired Company and utilized in the conduct of the Business.
