Business Balance Sheet is defined in Section 4.5(a).
Business Balance Sheet as used herein shall mean a schedule in the form of a corporate balance sheet showing the net book values, as of a specified time, of the respective categories of assets and liabilities set forth in the Recent Business Balance Sheet (as defined in Section 4.4), but reflecting only the Purchased Assets and the Assumed Liabilities. Each Business Balance Sheet shall be in form and level of detail as nearly as possible identical to, and in its accounting principles and policies consistent in every respect with, the Recent Business Balance Sheet (except that inventory shall be based on a physical inventory, except that there shall be no reserve for bad debts and except that there shall be established a "Warranty Reserve" in the amount of Two Hundred Fifty Thousand Dollars ($250,000)), and accompanied by schedules setting forth in reasonable detail all assets and liabilities included therein. Each Business Balance Sheet or its accompanying schedules shall contain sufficient detail of the Purchased Assets and Assumed Liabilities for the determination of Net Asset Value as defined below.
