Burn Rate definition

Burn Rate means the number of Options issued by the Company each year, expressed as a percentage of the issued and outstanding Common Shares of the Company at the end of the fiscal year;
Burn Rate means, as of any date of determination, the average monthly net decrease in cash used in operating activities for the most recently reported quarter, as reported by the most recently published Annual Report on Form 10- K or Quarterly Report on Form 10-Q by the Company.
Burn Rate shall have the meaning ascribed to it in Section 2.4(a) hereof.

For the avoidance of doubt, any expenditures with respect to a particular product or product line which are of a nature which occur in more than one fiscal quarter in any period of four consecutive fiscal quarters shall not be “non-recurring” for purposes of this definition, except as otherwise reasonably agreed by Licensee.
