Building Expenses definition

Building Expenses shall be all those expenses paid or incurred by Landlord in connection with the owning, maintaining, operating and repairing of the Property or any part thereof, in a manner deemed reasonable and appropriate by Landlord and shall include, without limitation, the following:
Building Expenses. With reference to Tenant's appropriate proportionate share of property tax, insurance exxxxxxs and common area service expenses as defined in the Lease Agreement, Tenant hereby agrees to pay, as additional monthly rental, One Thousand Five hundred Dollars and No Cents ($1,500.00) to be paid monthly, in advance, along with the monthly rental previously stated in Lease ARTICLE 7.
Building Expenses means the total cost and expenses paid or incurred by Landlord in connection with the management, operation, maintenance and repair of the Buildings, including without limitation: (i) the cost of air conditioning, electricity, steam, water, heating, mechanical, telephone, utilities (ii) the cost of repairs, replacements and all labor and material costs related thereto, and the cost of general maintenance, cleaning and service contracts and the cost of all supplies, tools and equipment required in connection therewith, (iii) wages, salaries, payroll taxes and other labor costs and employee benefits, (iv) management fees, (v) fees, charges and other costs of all independent contractors engaged by Landlord working in the building, (vi) accounting and legal expenses, (vii) security protection, (viii) depreciation on personal property, including, without limitation, carpeting in public corridor and common areas and window coverings provided by Landlord, (ix) the fair market rental value of all offices in the Building for the property manager and related management and operations personnel, (x) the cost of any capital improvements made in the building after completion of its construction as a labor saving or energy saving device or to effect other economics in the operation or maintenance of the Building, or made to the Building after the date of this Lease that are required under any governmental law or regulations that was not applicable to the Building at the time that permits for the construction thereof were obtained such cost to be amortized over such reasonable period as Landlord shall determine, together with interest on the unamortized balance at the rate of ten percent (10%) per annum or such higher rate as may have been paid by Landlord on funds borrowed for the purpose of construction such capital improvements, (xi) the cost of contesting the validity or applicability of any governmental enactments which may affect operating expenses, (xii) maintenance and repair of the roof of the building and the structural parts of the Building, (xiii) fees for licenses and permits required for the operation of the Building and Common Area and (xiv) any other expenses of any kind whatsoever reasonably incurred in connection with the management, operation, maintenance and repair of the Building (other than Real Estate Taxes, Insurance expenses and any services for which Landlord is separately and directly reimbursed by tenant or other tenants in the Building). Building Expenses shall not include janitorial expenses for the Leased Premises or other leased premises within the Building.
Building Expenses means all of Landlord's costs and expenses of operation and maintenance of the Conference Center (excluding any Project Expenses) as determined in accordance with generally accepted accounting principles or other recognized accounting practices, consistently applied, including, without limitation, all costs and expenses incurred by Landlord in performing its obligations under Sections 7(a) and 10(b) below; costs incurred in providing card-key access to the Conference Center; and costs of security services for common areas of the Conference Center. Notwithstanding the preceding to the contrary, Building Expenses shall not include any costs incurred by Landlord in connection with the construction of any alterations, additions or improvements for the sole benefit of Landlord or other occupants of the Building or Project; financing and refinancing costs, including interest on debts relating to mortgage loans and rental fees under any ground or underlying leases; business or income taxes; depreciation or amortization expense (except as provided below); costs in excess of the insurance deductible (which deductible shall in no event exceed $50,000.00) incurred by Landlord in connection with repairs and restorations following the occurrence of a casualty loss; leasing commissions and other costs of leasing incurred by Landlord; costs of restoring any Building or other improvements following a taking or transfer in lieu thereof; costs incurred by Landlord as a result of any improvements required to cause the Conference Center to comply with applicable laws, ordinances, building codes, rules or regulations; costs incurred as a result of the negligent or intentional acts of Landlord, other occupants of the Project or their respective employees, agents or contractors; and any costs which would be capitalized under generally accepted accounting principles (except as provided below). Except as otherwise provided above, and subject to Section 11 below, Building Expenses shall include the cost of necessary capital repairs and replacements to the Conference Center, which shall be amortized monthly over the useful life of the capital item on a straight-line basis during the Term.

Building Expenses shall be defined as, “any and all expenses, fees, premiums, taxes, charges, salaries, assessments or liens arising out of or incurred in the operation, repair, maintenance and management of the Building and all related common areas.” Such expenses shall not include the cost of constructing additional buildings nor improvements on the property on which the Building is located. With the rent payment due on January 1st of each year, or at any time the Lessor may deem it necessary due to increase in expenses (during the Term and option periods), Lessee’s share of Building Expense increases shall be determined using the previous year’s or most current expense information. The total estimated annual Building Expense increases shall then be divided into twelve (12) monthly payments. Lessee shall then pay to Lessor its pro-rated share, as set forth in Section 4, of the total monthly Building Expense increases with the next rental payment due or beginning January 1st of each year of the Term and any extensions thereof. The estimated expenses in Exhibit “B” shall be the base amount used for all calculations in determining any increase in expenses during the term of this Lease and any extensions. The present estimate of annual Building Expenses is attached hereto as Exhibit “B.” Within 90 (ninety) days after the end of each calendar year, Lessor shall furnish to Lessee a statement showing the Building Expenses incurred by Lessor during the prior calendar year. Lessee shall pay to Lessor the excess of Lessee’s share of such building expenses over the amount paid by Lessee to Lessor for such purpose during the prior calendar year. For the purposes of this Lease, the expenses in Exhibit “B” are the minimum expenses for the Building included in the base rent. Should the actual annual Building expenses be less then those disclosed in Exhibit “B” of this Lease Agreement, there should be no credit nor accruals for credit to Lessee. All such increased Building Expense payments shall be paid with and in addition to the base rent and the remedies for nonpayment or late payment are exactly the same as for the base rent. Such additional rental payments for expenses shall cease upon the expiration of this Lease and any extensions. Lessee shall have no obligation to pay for any increase in Building Expenses during the first twelve (12) months that this Lease is in effect.
